Terms of Use of Yandex Cloud Video

This document contains specific Terms of Use of Yandex Cloud Video (“the Service”) and is an integral part of Yandex.Cloud Customer Agreement (”Agreement”) and Service Terms set forth at https://yandex.com/legal/cloud_service_terms. Capitalized terms used herein but not defined herein shall have the meanings set forth in Agreement and Linked Documents.

1. Functional Features of the Service

1.1. The Service is a video content management platform that provides the Customer with the ability to post, process, store and deliver video materials (hereinafter referred to as "Customer’s Content") to third parties on his instructions via the Internet.

1.2. The Service allows the Customer to:

1.2.1. Upload, store and process video files in formats supported by the Service, as well as create and conduct online broadcasts.

1.2.2. View posted videos using the provided Video Player, as well as integrate the Video Player on external resources.

1.2.3. At the request of the end user, perform automated translation of the audio track into video in both audio and text format (subtitles).

1.3. Other functionalities of the Service that Yandex makes available to the Customer at its discretion. The full list of functionalities is available to the Customer on the Site and/or in the Management Console.

1.4. Yandex is not responsible for the Content, software and data of third parties or the Customer posted and/or processed using the Service.

1.5. Service Level is determined for the Service in accordance with SLA.

2. Pricing

2.1. The use of the Service is chargeable.

2.2. Service Fee for the Service is determined as per Service Rates and billing units specified on Site. Yandex may change Service Rates as prescribed by Agreement.

2.3. The Service charges for storing the Original Video, Transcoding, Streaming video storage, the volume of Outgoing Traffic, as well as other additional services consumed by the Customer related to the use of the Service.

2.4. Yandex may from time to time provide Customer with additional functional features of the Service for an additional fee.

3. Additional Terms

3.1. The Service may contain a number of restrictions, the list of which is contained on the Site in the "Quotas and limits" section.

3.2. Yandex is not responsible for the quality and content of automated translation.

4. Intellectual property

4.1. License from Yandex to the Customer. Yandex grants the Customer, under the terms of a simple non-exclusive license, the right to use the Content uploaded to the platform solely within the framework of the functionality of the Service.

This license includes the right to:

4.1.1. to reproduce the Content in order to view it within the framework of the Service;

4.1.2. to carry out public display of Content within the limits of the functionality of the Service;

4.1.3. embed Content on websites or other online resources owned by the Customer using a special embed code provided by the Service.

The License is valid for the period necessary for the operation of the Service and is terminated upon deletion of Content, blocking of the Customer's account or termination of the agreement with the Customer, except in cases where otherwise is expressly provided by law.

4.2. License from the Customer to Yandex. By uploading the Customer's Content to the Service, the Customer grants Yandex and its affiliates the right to use the Customer's Content under a simple (non-exclusive) worldwide license without remuneration and with the right to sublicense.

The License is granted for the entire term of the exclusive rights to the Customer's Content and includes the right to:

4.2.1. reproduce the Customer's Content in any way, including copying, caching and replication;

4.2.2. distribute the Customer's Content by making it publicly available, including posting it on information and telecommunication networks, including the Internet;

4.2.3. to carry out public display and public demonstration of the Customer's Content;

4.2.4. make changes to the Customer's Content, including the addition of titles, comments, subtitles, translation into other languages, format conversion, adaptation to various devices and screens, as well as other technical and creative processing, including the creation of derivative objects;

4.2.5. grant other Customers of the Service the right to view, reproduce and embed Content using embed code;

4.2.6. use the Customer's Content for advertising, promotional and analytical purposes, including the formation of recommendations and statistical reports.

The Customer confirms that he has all the necessary rights, powers and permissions to grant the specified license, including the consent of all co-authors and other copyright holders, if any.

4.3. The Customer's responsibility for the Customer's Content. The Customer is solely responsible for ensuring that the Customer's uploaded Content complies with legal requirements. The Customer guarantees that:

4.3.1. is the copyright holder of the Customer's Content or has the duly executed consent of the copyright holder;

4.3.2. the use of the Customer's Content on the platform does not violate the exclusive rights of third parties, including copyrights and related rights, trademark rights, appellations of origin, as well as personal non-property rights;

4.3.3. The Customer's Content does not contain protected intellectual property objects, the use of which is not permitted by the respective copyright holders, except in cases where such use is allowed for free use without the consent of the copyright holder.

5. Data processing

5.1. When using the Service, the Customer instructs Yandex to process personal data that may be contained in the Content.

When using the Service, a Data Processing Addendum applies to the relations of the parties in the part that does not contradict these Terms, as well as taking into account the functional features of the Service.

Terms

Capitalized terms used in these Terms and not defined in the Offer or the terms of use of other Services shall have the following meanings:

Video player — set of software solutions provided within the framework of the Service that ensure the reproduction of the Customer's Content hosted in the Service.

Original Video — the original (original) files of the Customer's Content uploaded by the Customer to the Service before Transcoding.

Transcoding — automatic process of converting the Original video into various formats and resolutions (creating a set of Streaming videos), optimized for storage and subsequent delivery to end users.

Streaming video — collection of video files obtained as a result of Transcoding the Original Video and intended for playback by a Video Player.
