Terms of Use of Yandex SpeechSense Service

This document specific contains Terms of Use of Yandex SpeechSense ("the Service") and is an integral part of Yandex.Cloud Customer Agreement (“Agreement”) and Service Terms set forth at https://yandex.com/legal/cloud_service_terms.
Capitalized terms used herein but not defined herein shall have the meanings set forth in Agreement and Linked Documents.
1. Functional Features of the Service
1.1. The Service allows the Customer to analyze the uploaded Dialogs. A full description of the functional features of the Service is contained in the Instructions for using the Service posted on the Site.
1.2. As part of the Service, the following features are provided to the Customer:
1.2.1. uploading Dialogs;
1.2.2. transcribing Dialogs provided in audio recording format using the Yandex SpeechKit;
1.2.3. searching transcribed Dialogs provided in audio recording format or Dialogs provided in text format;
1.2.4. compilation of reports based on the Customer's selected portions of transcribed Dialogs provided in audio recording format or portions of Dialogs provided in text format;
1.2.5. analyzing transcribed Dialogs provided in audio recording format or Dialogs provided in text format using the Yandex Foundation Models Service;
1.2.6. other features of the Service that Yandex, at its discretion, makes available to the Customer. The list of functional features is available to Customer on the Site and/or in the Management Console.
1.3. The service level of the Service is determined in accordance with the Service Level Agreement.
1.4. The Service operates only with languages mentioned on the Site.
2. Pricing
2.1. The use of the Service is chargeable.
2.2. The cost of using the Service is determined in accordance with the Service Rates and billing units specified on the Site. Yandex may change Service Rates as stipulated by Agreement. The cost of using the Services used as part of the provided Yandex SpeechSense shall be determined in accordance with the pricing rules for the relevant Services.
2.3. The cost of the Service depends on the number of uploaded seconds of Dialogs provided in audio recording format or the number of characters in Dialogs provided in text format.
2.4. Yandex may from time to time provide the Customer with additional functional features of the Service for an additional fee.
2.5. As part of the Service, the Customer may be offered special prices and discounts to be published on the Site and/or in the Management Console (if applicable).
3. Data Processing
3.1. When using the Service, the Customer shall instruct Yandex to process personal data that may be contained in the submitted records.
3.2. The Data Processing Agreement (posted online at: https://yandex.com/legal/cloud_dpa/) applies to the relationship of the parties when using the Service to the extent that does not contradict these Terms of Use, while considering the functional features of the Service. If there are any discrepancies between the Data Processing Agreement and these Terms of Use, the latter shall prevail.
3.3. The Customer warrants that it will ensure the existence and validity of legal grounds for the processing of personal data sufficient in accordance with the applicable law for their processing by Yandex to the extent stipulated by the Terms of Use.
3.4. The Customer shall confirm the existence of rights to the transmitted Dialogs, the existence of the relevant data subjects' consents to the storage and processing of such audio recordings by Yandex and its affiliated companies. In the event of breach of the above warranties and representations, the Customer shall indemnify Yandex for all losses incurred in this regard.
3.5. Yandex and its affiliates shall use all information contained in Dialogs solely for the purposes of providing the Service. Except for cases stipulated by Clause 3.6, no information about the Customer contained in Dialogs shall be used to train Yandex’s own models or for other purposes other than the above.
3.6. The Customer may express its consent to the use of any information contained in the Dialogs by Yandex and its affiliates for other purposes by specifying a special parameter described in the technical documentation. The specification of such a parameter means that the Customer:
- agrees that information from the Dialogs may be used for the purposes of debugging and training models of the Yandex Foundation Models Service;
- represents and warrants that it has obtained all necessary consents and has all the necessary rights to transfer information from Dialogs to Yandex and its affiliates;
- warrants that any information from Dialogs does not contain information related to secrets protected by law, special categories of personal data, biometric personal data or other data, the processing of which is prohibited in accordance with the applicable law.
4. Limitations on the use of the Service
4.1. The Service may provide for other restrictions listed on the Site (the Quotas and Limits section).
4.2. By using the Service, the Customer agrees to the Terms of Use of Yandex SpeechKit and the Terms of Use of Yandex Foundation Models.
4.3. The Customer shall accept the risk of any negative consequences caused by errors or other malfunctions in the functioning of the Service, as well as the use of the results of its functioning, and shall release Yandex from liability therefor.
4.4. The Customer acknowledges and agrees that Yandex may use AI technologies as part of the provision of the Service, and the results obtained with the use of the said technologies may be generated automatically. The Customer acknowledges that Yandex cannot be responsible for the content of the generated result, without being responsible for the accuracy, relevance, correctness of such results.
Terms and definitions
Capitalized terms used in the Terms and not defined in the Offer or the terms of use of other Services shall have the following meanings:
Dialogs means audio recordings in two-channel audio format containing speech of a person or several people, or text files containing speech recognition results.
