Welcome to the Yango Deli Platform. This page sets out the terms of use for the Platform (as defined below). Please read these terms of use carefully, from time to time, as changes may be made to them, which shall come into effect in accordance with the conditions contained herein.

Use of the Platform is only possible by using devices with IOS operating systems devices and Android operating system.

Any use by you of the Platform constitutes your acceptance and acknowledgment of the terms of use and your obligations hereunder. Yandex (as defined below) may make changes to the terms of use at any time, at its sole discretion. Any changes in the terms of use that are subject to the provisions of the law shall come into effect on the date of publication thereof on the Platform pages, in accordance with the provisions of such law, without prior notice on the Platform pages. Please note that any material changes in the terms of use shall be accompanied by prior notice thereof on the Platform’s home screen. You continued use of the Platform and the services provided thereon after such changes are made in the terms of use shall constitute your acceptance of and agreement to the new terms of use. If you do not agree to any of the new terms of use, you must avoid using the Platform and the services offered thereon. The change to the terms of use shall come into effect on the publication thereof on the Platform, and therefore you must keep up-to-date with the terms of use and privacy policy and check it every time you log into the Platform. If you do not agree to all or any of the Platform’s terms of use, must not use it, and if you do, you shall have no claim, suit and/or demand against Yandex.

If you are under 18 years old, please read these terms of use carefully with your parents or any other guardian. If you and/or your parents do not agree to all or any of the Platform’s terms of use, you may not use the Platform for any purpose.

Please note that using the Platform, in itself, constitutes unconditional acceptance of and agreement to these terms of use (“Terms of Use”) and the Yango Deli software’ license agreement, which is available at: https://yandex.com/legal/user_deli.

1. The Yango Deli Platform (hereinafter - “the Platform” means digital platforms and(or) applications and(or) webpages of Yango Deli Israel Ltd. and its affiliates where Yango Deli is available in regards to its use) is an Platform through which retail sales of food, home products and pharma products, etc., which are available on the Platform, are performed. The Platform is managed by Yango Deli Israel Ltd. (“Yandex” or “the Operator”), located at: 148 Menachem Begin, Tel Aviv-Jaffa, tel.: 077-2200809, fax.: 03-7618008. However, nothing stated on the Platform constitutes a recommendation or opinion with respect to the purchase of any product.

2. Any person or company performing any activity on the Platform, including a person performing a purchase (“the User”), declares, by performing the act on the Platform, that it has read these Terms of Use, that it accepts its provisions and agrees that the process of purchasing products on the Platform shall be subject to the conditions set out in these Terms of Use, and that neither it nor any person acting on its behalf shall have any claim or demand against Yandex and/or any person acting on its behalf and/or any of its managers and/or employees and/or affiliates, except claims relating to any of Yandex’ express obligations hereunder.

3. Yandex may, at any time and at its sole discretion, change and/or remove and/or add to any services, content or information displayed on the Platform, and/or determine, at its sole discretion, their locations and design, and otherwise decide on any other matter relating to such services, content and/or information.

4. The services, in whole or in part, are ‘location-based services’, aided by GPS software, for the purpose of determining your location. Please note that some of the services cannot be provided without the User’s consent to use of such software, and therefore, by installing the Platform, the User agrees to Yandex’ being aided by GPS software in order to determine the User’s location.

5. Use of the Platform is for personal and private purposes. The User may not and may not allow others to copy and/or use and/or any content contained in or associated with the Platform, for any purpose other than private and personal use.

6. The User may use the Platform and services provided through it only in accordance with the Terms of Use. It may not and may not allow others to use the Platforms and/or the services provided through it other than in accordance with the provisions hereof.

7. Any operation of computer Platforms and/or software and/or other means for searching, copying, scanning or retrieving services and/or content from the Platform is prohibited.

8. On registration and/or for the purpose of and upon ordering a Delivery, the User shall be required to provide a telephone number and/or email address, and it shall also be required to inform Yandex of its location or of any location where it wishes the delivery to be performed. In addition, the payment for the order shall only be made by credit card. Yandex is entitled to change the Platform’s policy and the process of provision of details, and determine additional ways of identification during registration to the Platform.

9. The images of the various products, appearing on the Platform, are for illustration only, and in the event of inconsistency between the image and the name and marking of the product (barcode), such marking shall prevail.

10. The price of the products shall be in accordance with the Platform’s price list, as updated from time to time at Yandex’ sole discretion and as published on the Platforms.

11. The Platform offers special deals. Yandex may offer, on the Platform, special deals, benefits and discounts. The deals are limited in time and/or quantity, and depend on stock availability at each Yango Deli branch. Yandex is entitled to terminate, replace or change them at any time, without prior notice.

12. Yandex reserves its right, at its sole discretion, to restrict a User’s access to the Platform (or to certain functions therein, if technologically possible) through use of the User’s account, completely block the User’s account, or take any other action for any violation of these Terms of Use or the provisions of the law, any infringement of or harm to the rights and interests of third parties and/or Yandex, suspected threats to public safety, or if required due to Yandex’ legal obligations.

13. Prohibition of harassing or harmful use – the User shall use the Platform and/or the services rendered through it in good faith. The User shall not use the Platform with the purpose of harassing other Users and/or Yandex. The User shall not harm, injure or damage the reputation, property or body of other Users and/or the Operator.

14. Yandex shall be entitled to suspend the provisions of its services on the Platform for the purpose of maintaining, repairing, upgrading and improving all or some of the services. The User shall have no claim and/or suit against the Operator with respect to this matter.

15. The service provided through the Platform is only rendered within the areas as determined by the Platform, which may change from time to time at the sole discretion of Yandex (“the Service Area”), without prior notice.

16. The supply of products purchased via the Platform shall only be possible if the address stated on the Platform by the User is within the Service Area, and if there is no technical or other matter preventing such supply.

17. The purchase of cigarettes, tobacco products and alcoholic beverages is only allowed for Users that are over 18 years old, and on the delivery of the product, the User shall be required to present an identity card or driving license and/or other documents proving the User’s age. Yandex may refuse to deliver such products to the User, if there is any doubt as to the User or the person receiving the product being over 18 years old. Any sale of alcoholic beverages between 23:00 and 06:00 is prohibited. In including cigarettes, tobacco products or alcoholic beverages in the order, the User affirms that he is over 18 years old.

18. Yandex, at its sole discretion, may change and/or terminate, at any time, the activities of Yango Deli, without prior notice.

Products

1. “Products” mean food and other consumer goods sold from time to time via the Platform, and the supply of which is requested by the User on filling out the order on the Platform, subject to the provisions of the Terms of Use.

2. The Products shall appear in lists displayed on the Platform (“Product List”), and according to the location requested by the User on the Platform.

3. Yandex shall be entitled, at any time, to change, replace or remove all or some of the products listed in the Product List.

4. The manner in which the products are displayed on the Platform shall be determined by the Operator from time to time, at its sole discretion. It should be clarified that the images of the products, displayed on the Platform, are for illustration only, and nothing in them shall be binding upon the Yandex.

5. If during the handling of the User’s order by Yango Deli, it is discovered that any of the products are out of stock, such products shall not be included in the User’s final account, and the price thereof shall be deducted from the account and removed from the order list.

6. The User may only order a reasonable quantity of any products. Yandex shall determine the quantity which shall be deemed to be reasonable, at its sole discretion.

Prices

1. The prices of the products, as published on the Platform, are the prices of the products as last updated before the User’s visit to the Platform, or at the time the order is placed and confirmed by the User, whichever is later (if the prices of products placed in the shopping cart are changed, the User will be notified about the change). Yandex shall be entitled, from time to time, to update the prices of the products on the Platform, regardless of the time the User places its order. Notwithstanding the foregoing, the price of the products contained in the User’s order as displayed on the Platform at the time the order is placed, shall not change for 10 minutes from the time the order is placed (provided the Platform is not restarted).

2. The User shall be charged for weighable products according to the actual weight thereof. The reason for this stipulation is that at the time the order is placed, the estimated value of the order, as informed to the User, is calculated using the estimated weight of the ordered weighable products, but the actual charge is calculated on the weighing of the products performed a short time before they are supplied. to the User.

3. The price of the products includes VAT.

4. The User agrees and acknowledges that in order to purchase the products contained in its order, it shall be required to place an order whose total value is equal to or more than the value of the minimum order value stated on the Platform. Yandex may change, at any time, the minimum order value stated on the Platform, including increasing and/or reducing it without prior notice, and such change arises, inter alia, from the demand in the specific Service Area in which the User places its order.

Making purchases via the Platform

1. The shopping cart is created by adding individual products that the User wishes to purchase, out of the variety of products displayed on the Platform.

2. The purchase is completed, on completing the filling of the shopping cart, by pressing the ‘pay here’ or any other similar button. The User shall be required to enter the order’s delivery details, including the name of the person receiving the delivery, the delivery address and contact details. In addition, at this stage the User may change the means of payment entered into the system.

3. At the end of the process, a page appears, confirming that the order has been created and will be transferred for the continued handling thereof.

4. The Yango Deli Platform services do not constitute an irrevocable offer for the sale of products. The receipt of an order from a User for the purchase of products shall constitute an offer by the User for the purchase thereof, and the acceptance of such offer shall be take place by the actual supply of the products, subject to the stock available on the date of supply, and in accordance with the provisions hereof.

Payment

1. Payments via the Platform shall be made by means of a credit card belonging to the User or by other means that allowed you in the app. If the User chooses to use a different credit card, it shall enter all the details as required by the Platform, and the new information entered by the User shall be stored by the Platform together with the previous information entered by the User. Yandex is assisted by external clearance services which comply with the PCI standard, a stringent standard designed to ensure protection of credit card information, for the purpose of charging through credit cards. The clearance companies are the ones that store the Users’ credit card details and actually charge them.

2. A User shall enter his credit card details on the Platform interface as follows:

2.1. credit card number;

2.2. expiration date;

2.3. CVC number.

3. If the bank card details are correct, effective and valid, and such card can technically be used via the Platform, such credit card shall become the User’s linked card, and it may be used for making payments. All the linked cards are displayed on the Platform interface; for the User’s convenience, the interface displays the 4 last digits of each linked card.

4. In order to make sure that the details of the linked card are correct and valid, an amount limited to NIS 1 shall be charged to the card; if the transaction is successfully completed, the said amount shall be refunded. Failure to charge such amount to the card means that the linked card cannot be added.

Yango Deli’s operating hours

1. Placing an order via the Platform is possible during the Platform’s operating hours, except if the Platform is shut down for maintenance and/or for any other reason. The dates and times of supply of the order are subject to the provisions hereof. The available supply times for Deliveries are displayed on the Platform, according to the area in which the delivery is to be made and subject to Yango Deli’s Service Areas.

2. Placing and/or changing and/or cancelling an order through Customer Service via chat in the Platform, is only possible during the operating hours of the Customer Service Center. Such operating hours shall be updated from time to time at Yandex’ discretion, without prior notice, and published on the Platform.

3. The operating hours of the Customer Service Center are as specified in the Platform.

4. The operating hours of the Yango Deli are as specified in the Platform.

5. Notwithstanding anything stated anywhere herein, it is hereby clarified that changes/deviations may occur in the times of supply and also in the operating times of the Customer Service Center, and Yandex shall not be required to adhere to such times.

Supply

1. The supply of products purchased at Yango Deli shall only be possible where the requested address is within the Service Area, and nothing prevents the supply of such products, technically or otherwise.

2. The products contained in the order shall be supplied by Yango Deli (hereinabove and hereunder: “the Delivery”), subject to the provisions hereof concerning Yango Deli’s right not to supply any products, from one of the branches operating as part of Yango Deli, to be chosen by the Platform and/or the User, according to the User’s location and/or the User’s selection. It should be clarified that the supply of the products shall only be possible where the requested address is within the Service Area as defined by Yango Deli on the Platform, and there is nothing technically or otherwise preventing the supply of such products.

3. It should also be clarified that the supply of the product pursuant to a received order shall be performed subject to the authorization of the transaction and means of payment by the credit card company, and Yango Deli reserves the right not to approve any payment, at its sole discretion.

4. The supply of the products shall be performed at the estimated time stated on the Platform. Nonetheless, the delivery time may vary due to different factors (weather, traffics and etc.) not related to the Yango Deli. In any event, any delay in delivery of up to 15 minutes shall not be deemed to be a violation of these Terms of Use, and the User shall have no claim and/or suit and/or demand with respect to this matter.

5. Yango Deli shall make every effort to supply all the products listed in the order; however, not all the products shall always be available for delivery within a reasonable time. Therefore, Yango Deli does not undertake to supply all the products contained in the order, regardless of whether or not it has been stated that they are out of stock, and the User shall have no claim against Yango Deli for failure to supply any ordered product. Yango Deli shall only supply to the User the products available in the stock of the supplying branch, during the preparation of the Delivery.

6. Yango Deli shall not charge the User for any product not supplied as described above.

7. If the User or any person acting on its behalf is not present at the time of supply at the requested address for delivery, and the User does not consent to the courier placing the products outside the entrance door, the products shall be returned to the Yango Deli branch, and the User’s order shall be cancelled without the User being charged.

8. If Yango Deli fails to meet the requested supply time, for any reason arising from the actions or inactions of the User shall not release the User, in any way, from its obligation to pay for his order with Yango Deli, and no payment for an order shall be refunded in such case.

9. For the avoidance of any doubt, it should be clarified that the Platform’s clock and Yango Deli’s data shall constitute final and conclusive evidence as to the time of confirmation of the order by the User on the Platform, and the time at which the invoice was issued by Yango Deli.

Return of products

1. The User must check the delivered products and compare them both to the order made on the Platform and to the invoice provided at the moment of delivery.

2. In the event that any variance is discovered on such comparison, the User must notify the Customer Service Center of the error via the Platform, within 24 hour from the time of supply; any return of products in such case shall be subject to Yango Deli’s return policy.

Canceling/changing an order

1. The User may cancel or change an order via the Platform, no later than the beginning of the collection of the products at the Yango Deli branch.

2. In the event of a change which is a change in the shopping cart, the price of the order and the deals and benefits associated with it shall be adjusted according to the date on which the changed order is closed and sent.

3. It should be emphasized that the User’s right to return a products and/or cancel a purchase shall be in accordance with and subject to the provisions of the law, including the provisions of the Consumer Protection Law, 5741-1981, the Sale Law, 5728-1968, and the Payment Services Law, 5779-2019, and/or subject to the policy of Yango Deli in effect from time to time.

Marking

1. The information stated on the products has been provided by the suppliers thereof and they shall be liable for such information.

2. There may be errors and/or inconsistencies in the marking of the products.

3. Allergens/gluten – the User must not rely upon the list of ingredients of the product appearing on the Platform. The User is required to read what is stated on the product, before using it.

4. The images are for illustration only.

Liability

1. Some of the information on the products offered for sale on the Platform is provided to Yandex by the manufacturers, producers and/or importers of the products (“Manufacturers”), and Yandex enters it into the Platform as is. Yandex does not check the reliability, completeness or correctness of such information, or whether or not the ingredients or features of actual products matches it, and we rely on the Manufacturers’ tests in accordance with the law. Yandex shall not be liable for any variation, deficiencies, misleading information or errors in such information or in or with respect to the nature or description of the products or their suitability to your needs.

2. The User uses the Platform at its own risk. Use of the Platform and its contents is provided to you as is, and no User shall have any claim, suit or demand against Yango or any person acting on its behalf, with respect to the features, capabilities and limitations of such use, its suitability to its needs.

3. Yandex shall not be liable for any damage caused to you, directly or indirectly, as a result of the products supplied to you being defective, spoilt or malfunctioning, unless the defect occurs as a result of negligence on its part. In such case, Yandex’ liability shall be limited to an amount equal to the price of the order.

4. Yandex does not warrant that the services provided on the Platform shall be uninterrupted, timely, secure or high-quality or error free, and that they shall be immune from unauthorized access to its computers and/or software, or from any damage, malfunction or failures, inter alia in hardware software, communication lines and systems, at your premises or at the premises of Yandex or any of its suppliers, and you shall have no claim against Yandex in this respect. The service may not be available in the future due to maintenance or upgrading requirements or for any other reason.

5. If, on placing the order, the User is overcharged or undercharged, as a result of errors in calculation on Yandex’ part, the User shall be credited of debited for the entire difference, and shall not be required to pay or shall be charged such amount, as the case may be. If a delay occurs in the time the payment for the order is charged, such amount shall be charged at a later date, and the User shall have no claim and/or suit and/or demand against Yandex and/or any person acting on its behalf and/or any of its managers and/or employees and/or affiliates, for the delay in charging such amount.

6. Any placing of commercial information and/or marketing communications on the Platform is for informational purposes only, and shall not be construed as an offer to use and/or encouragement and/or endorsement and/or recommendation of and/or agreement to and/or a professional opinion on and/or agreement to the content and/or services offered on the Platform, if any, by Yandex and/or any person acting on its behalf. In publishing Yango Deli’s products, neither Yandex nor any person acting on its behalf expresses any opinion as to the suitability thereof to the purposes of the User, and/or the standard and/or quality of the products and/or of any information, advertisements, links or services displayed on the Platform. Neither the Operator not any person acting on its behalf shall be liable for the content of the ads (if any) or commercial information published on the Platform.

7. Yandex may terminate the provision of services via the Platform, and/or close the Platform, and/or change, from time to time, the Platform’s structure, appearance, or manner of operation, or the availability of the services and products offered through it, without the need to notify the Users in advance. Use of the Platform after any change therein constitutes acceptance by the User of the terms and conditions thereof, as changed.

8. Neither Yandex nor any person acting on its behalf shall be liable to the User and/or any third party for any direct, indirect, secondary, incidental, special or consequential damages or loss (including, without limitation, damages for loss of a database, loss of software, the costs of the supply of a substitute service or interrupted, disrupted or impaired service) resulting from the use of or inability to use the Platform, the purchase of goods or services, the performance of a transaction or Delivery, or as a result of unauthorized use of the Platform, or any change in the information provided by you, including damage caused as a result of loss of profits, use or information, or other intangible assets, even if the Platform was informed of the possibility of the occurrence of such losses.

9. The User shall be liable for any direct or indirect consequences arising from use of the Platform, and it shall indemnify and defend Yandex and/or any person acting on its behalf for any claim, suit, demand and loss, loss of profits, payment, expenses or damage, including legal fees and trial costs, as a result of the manner of use of and/or inability to use the Platform and/or any violation of these Terms of Use. Use of the Platform is subject to all the laws and regulations applicable to the User, and it shall not violate any law and/or regulation in connection with the use of the Platform. In addition, the User shall not perform and/or attempt to perform any examination and/or test of the system’s sensitivity, or hack any security or verification means or measures, or interfere with or disrupt any systems and/or networks connected to the Platform, and it shall not violate the rules, regulations, policies or processes of systems and/or networks, or obtain or attempt to obtain unauthorized access to the Platform, other User’s accounts, or computer systems and communication networks connected to the Platform.

10. Yandex cannot guarantee the security and absolute protection of the information, and does not warrant that the Platform or use thereof are completely immune from unauthorized access to the information or content stored on the Platform. Therefore, it is hereby clarified that Yandex shall not be liable in case of any security breach and/or damage caused as a result of use of the Platform and/or the content displayed on it and/or the services provided through it by the User.

Intellectual property

1. The intellectual property, including any copyrights and/or trademarks and/or designs and/or patents, and such other rights in the Platform, including the Platform’s design, software, Platform, graphic files, texts, images, technologies, processes, content, icons, computer codes and any other material contained therein (“Platform’s Content”) are the exclusive property of Yandex and/or its affiliates and/or any third parties by whom Yandex has been lawfully granted licenses.

2. Yandex retains all its rights and property in the Platform’s Contents, and nothing in entering into the Platform grants any license and/or right in all or part of such content.

3. Any reference in the various catalogues to any name, trademark, product and/or service of any third party, appears only as a service provided to the User, and nothing in it constitutes any advertisement, sales promotion, endorsement and/or recommendation with respect to them. It is hereby clarified that if any supplier infringes the intellectual property rights of any third party, such supplier shall be solely liable for such infringement.

4. The Platform and its contents are intended only for private use and not for commercial use, and any use thereof shall be limited only for the purpose of the sale and purchase of products through them. No such material shall be copied, reproduced, distributed, sold or displayed, without Yandex’ prior written consent.

Indemnification

The User undertakes to indemnify Yandex for any damage, loss, loss of profits, payment or expense that may be incurred by it, including legal fees and trial costs, as a result of any violation hereof and/or any other harm caused to the Platform by it and/or by any person acting on its behalf.

Assignment

Yandex shall be entitled to transfer its obligations and rights hereunder to any third party, without the need to obtain the User’s consent.

Governing law and jurisdiction

1. The contract between the User and Yandex and these Terms of Use shall be governed by Israeli laws.

2. The exclusive venue for any dispute arising from these Terms of Use and use of the Platform shall be the competent courts and the Tel Aviv-Yafo district.

כל שימוש על ידך בפלטפורמה מהווה את הסכמתך ואישורך לתנאי השימוש והתחייבותך על פיהם. יאנדקס (כהגדרה להלן) רשאית לבצע שינויים בתנאי השימוש בכל עת, בהתאם לשיקול דעתה הבלעדי. שינויים בתנאי השימוש שהינם בכפוף להוראות הדין יכנסו לתוקף מיום פרסומם בדפי הפלטפורמה, בהתאם להוראות הדין כאמור, ללא מתן הודעה מוקדמת בדפי הפלטפורמה. לתשומת לבך כי שינויים מהותיים בתנאי השימוש ילוו בהודעה מוקדמת על כך במסך הבית של הפלטפורמה. המשך שימושך בפלטפורמה ובשירותים הניתנים בה לאחר עריכת השינויים בתנאי השימוש כאמור יעידו על הסכמתך וקבלתך את תנאי השימוש החדשים. אם אינך מסכים למי מתנאי השימוש החדשים, עליך להימנע מהמשך שימוש בפלטפורמה ובשירותים המוצעים בהם. תוקפו של שינוי תנאי השימוש יחל מרגע פרסומו בפלטפורמה ועל כן עליך להתעדכן בתנאי השימוש ומדיניות הפרטיות בכל כניסה לפלטפורמה. אם אינך מסכים לתנאי השימוש של הפלטפורמה כולם או חלקם הנך מתבקש שלא לעשות כל שימוש בו ובמקרה וכן תעשה בן שימוש אז לא תהיה לך כל טענה, תביעה ו/או דרישה כלפי יאנדקס.

בנוסף, אפליקציית YANGO DELI מאפשרת גישה לפלטפורמת Yango Market. כדי להשתמש בפלטפורמת Yango Market, המשתמש חייב לאשר את תנאי השימוש של Yango Market זמינים בקישור: https://yandex.com/legal/yangomarket_termsofuse.

1. פלטפורמת YANGO DELI ("הפלטפורמה" משמעותה היא פלטפורמות דיגיטליות ו/או אפליקציות ו/או אתרים של יאנגו דלי ישראל בע"מ וישויות קשורות אליה בהם שירות YANGO DELI זמין ביחס לשימוש בו ) הינה פלטפורמה אשר דרכה מתבצעות מכירות קמעונאיות של מזון, מוצרים לבית, פארם וכו' אשר זמינים בפלטפורמה. הפלטפורמה מנוהלת על ידי חברת יאנגו דלי ישראל בע"מ (להלן: "יאנדקס" או "המפעילה") הכתובת הרשומה: רח' מנחם בגין 148, תל אביב-יפו, טל: 077-2200809, פקס:03-7618008. יחד עם זאת, אין באמור בפלטפורמה כדי להוות המלצה או חוות דעת לרכישת מוצר כזה או אחר.

2. כל אדם או חברה המבצע/ת פעולה כלשהי בפלטפורמה, לרבות אדם המבצע רכישה (להלן: "המשתמש"), מצהיר בעצם ביצוע הפעולה בפלטפורמה כי הוא קרא את תנאי שימוש אלה, כי הינו מסכים להוראותיו ולכך שתהליך הרכישה בפלטפורמה יהא כפוף לתנאים המפורטים בתנאי שימוש אלה וכי לא תהיה לו ו/או למי מטעמו כל טענה או תביעה כנגד יאנדקס ו/או מי מטעמה ו/או מי ממנהליה ו/או מי מעובדיה ו/או מי מחברות קשורות אליה, למעט טענות הקשורות בהתחייבות מפורשת של יאנדקס בהתאם לתנאי שימוש זה.

3. יאנדקס רשאית לשנות ו/או להסיר ו/או להוסיף, בכל עת, על פי שיקול דעתה הבלעדי, שירותים, תכנים או מידע אשר יוצגו בפלטפורמה, ו/או להחליט, לפי שיקול דעתה הבלעדי על מיקומם ועיצובם ועל כל עניין אחר הקשור בשירותים, בתכנים ו/או במידע הנ"ל.

4. השירותים ו/או חלקם הינם "שירותים מבוססי מיקום" הנעזרים בתוכנות ניווט (GPS) על מנת לקבוע את מיקומך. לתשומת לבך, לא ניתן לספק חלק מהשירותים ללא הסכמת המשתמש לשימוש בתוכנות אלו, לפיכך בעצם התקנת הפלטפורמה, המשתמש מסכים לכך שיאנדקס נעזרת בתוכנות הניווט על מנת לקבוע את מיקום המשתמש.

5. השימוש בפלטפורמה הינו למטרות אישיות ופרטיות. אין להעתיק ו/או להשתמש ו/או לאפשר לאחרים להעתיק ו/או להשתמש בתכנים מתוך הפלטפורמה או הקשורים בו לכל מטרה שאיננה לצורך שימוש פרטי ואישי.

6. המשתמש רשאי להשתמש בפלטפורמה ובשירותים המסופקים על ידיה רק בהתאם תנאי שימוש. הוא אינו רשאי להשתמש ו/או לאפשר לאחרים להשתמש בפלטפורמה ו/או בשירותים המסופקים על ידי הפלטפורמה, שלא בהתאם להוראות תנאי שימוש אלה.

7. חל איסור להפעיל יישומי מחשב ו/או תוכנות ו/או אמצעים אחרים לשם חיפוש, העתקה, סריקה או אחזור של שירותים ו/או תכנים מתוך הפלטפורמה.

8. בעת ההרשמה ו/או לשם ביצוע הזמנה, המשתמש יידרש למסור טלפון ו/או כתובת דואר אלקטרוני וכן על המשתמש למסור ליאנדקס מיקום שלו או מיקום אליו הוא רוצה לבצע משלום בעת הזמנת המשלוח. כמו כן, תשלום עבור ההזמנה יתבצע רק באמצעות כרטיס אשראי בלבד. יאנדקס רשאית לשנות את מדיניות הפלטפורמה ומסירת הפרטים ולקבוע דרכי זיהוי נוספות בעת ההרשמה לפלטפורמה.

9. תמונות המוצרים השונים המופיעות בפלטפורמה הינן להמחשה בלבד ובמקרה של סתירה בין התמונה לבין שם המוצר וסימונו ("ברקוד") יקבע הסימון.

10. מחיר המוצרים יהא על פי מחירון של הפלטפורמה, כפי שיעודכן מעת לעת על פי שיקול דעתה הבלעדי של יאנדקס וכפי שיפורסם בפלטפורמה.

11. הפלטפורמה מציעה מבצעי קניה. יאנדקס רשאית להציע בפלטפורמה מבצעים, הטבות והנחות. המבצעים הינם מוגבלים בזמן ו/או בכמות ובהתאם למלאי הקיים בכל סניף YANGO DELI. יאנדקס רשאית להפסיקם, להחליפם או לשנותם בכל רגע נתון וללא צורך לתת כל הודעה מוקדמת על כך.

12. יאנדקס שומרת על זכותה, על פי שיקול דעתה הבלעדי, להגביל גישת המשתמש לפלטפורמה (או לפונקציות מסוימות של הפלטפורמה, אם הדבר אפשרי מבחינה טכנולוגית), באמצעות שימוש בחשבון המשתמש או לחסום לחלוטין את חשבון המשתמש או לנקוט בכל אמצעי אחר בגין הפרות של תנאי שימוש אלה, הוראות הדין, פגיעה בזכויות ואינטרסים של צדדים שלישיים ו/או יאנדקס, חששות לביטחון הציבור או במקרה של ההתחייבויות המשפטיות של יאנדקס.

13. איסור שימוש מטריד או פוגעני – המשתמש יעשה שימוש בפלטפורמה ו/או בשירותים הניתנים בה בתום לב. המשתמש לא יעשה שימוש בפלטפורמה על מנת להטריד משתמשים אחרים ו/או את יאנדקס. המשתמש לא יגרום נזק לשמם הטוב, לרכושם ולגופם של משתמשים אחרים ו/או של המפעילה.

14. יאנדקס רשאית להפסיק מדי פעם שירותיה בפלטפורמה לשם תחזוקה, תיקון, שדרוג ושיפור השירותים או חלקם. למשתמש לא תהיינה כל טענות ו/או תביעות נגד המפעילה בשל כך.

15. השירות שניתן בפלטפורמה מוענק באזורים כמוגדר על ידי הפלטפורמה בלבד אשר עשויים להשתנות מעת לעת לפי שיקול דעתה הבלעדי של יאנדקס (להלן: "אזור השירות") ללא מתן הודעה מוקדמת.

16. אספקת מוצרים שנרכשו בפלטפורמה אפשרית אך ורק כאשר המען אשר צוין בפלטפורמה על ידי המשתמש נמצא בתוך אזור השירות, ואין מניעה טכנית או אחרת המונעת אספקת מוצרים כאמור.

17. רכישה של סיגריות, מוצרי טבק ומשקאות משכרים מותרת אך ורק למשתמשים אשר גילם מעל 18 שנים ובעת מסירת המוצר על המשתמש להציג תעודת זהות או רישיון נהיגה ו/או אסמכתאות אחרות המעידות על גילו של המשתמש. יאנדקס רשאית לסרב למסור למשתמש את המוצרים לעיל אם יש ספק כי למשתמש או המקבל מלאו 18 שנים. אסורה מכירה של משקאות משכרים אחרי השעה 23:00 ועד 6:00. בעצם הכללת סיגריות, מוצרי טבק ומשקאות משכרים בהזמנה, מאשר המשתמש כי גילו הנו מעל 18 שנים.

18. יאנדקס, לפי שיקול דעתה הבלעדי, רשאית לשנות ו/או להפסיק בכל עת את פעילות YANGO DELI , וזאת ללא צורך במתן התראה ו/או הודעה מוקדמת כלשהן.

המוצרים

1. "המוצרים" הם מזון ומוצרי צריכה אחרים הנמכרים מעת לעת דרך הפלטפורמה ואשר אספקתם התבקשה על ידי המשתמש בעת מילוי ההזמנה בפלטפורמה, בכפוף לאמור בתנאי שימוש.

2. המוצרים יופיעו במסגרת רשימות שתוצגנה בפלטפורמה (להלן: "רשימת המוצרים") ולפי המיקום המבוקש בה על ידי המשתמש.

3. יאנדקס רשאית לשנות בכל עת איזה מהמוצרים המוצגים ברשימת המוצרים בפלטפורמה, להחליף איזה מהמוצרים ברשימה או להוציא איזה מהמוצרים מהרשימה הנ"ל.

4. אופן הצגת המוצרים בפלטפורמה יקבע על ידי המפעילה מעת לעת על פי שיקול דעתה הבלעדי. יובהר כי תמונות המוצרים המוצגות בפלטפורמה הינן להמחשה בלבד ואינן מחייבות באופן כלשהו את יאנדקס.

5. אם בעת טיפול בהזמנת המשתמש על ידי YANGO DELI הסתבר כי אחד או יותר המוצרים חסרים במלאי, מוצרים אלה לא יכללו לחשבון הסופי של המשתמש ומחירם יוסר מרשימת ההזמנה והחשבון.

6. במסגרת הרכישה, יהיה המשתמש רשאי להזמין ממוצר כלשהו אך ורק כמות סבירה. סבירות הכמות כאמור תהא נתונה לשיקול דעתה הבלעדי של המפעילה.

המחירים

1. מחירי המוצרים שיפורסמו בפלטפורמה הינם מחירי המוצרים כפי שעודכנו לאחרונה לפני מועד ביקור המשתמש בפלטפורמה במועד הקלדת ההזמנה ואישורה על ידי המשתמש, לפי המאוחר (אם מחירי המוצרים הנמצאים בסל ישתנו . יאנדקס רשאית לעדכן את מחירי המוצרים בפלטפורמה מפעם לפעם ללא קשר לביצוע ההזמנה על ידי המשתמש. על אף האמור, מחירי המוצרים שנכללו בהזמנתו כפי שהוצגו בפלטפורמה בעת הזמנתו ישמרו לו למשך 10 דקות ממועד ביצוע ההזמנה (אם לא בוצע אתחול הפלטפורמה).

2. חיוב המשתמש בגין מוצרים שקילים יהא בהתאם למשקל המוצרים בפועל. יוסבר כי בעת ביצוע הזמנה אומדן ערך ההזמנה שנמסר למשתמש מתבצע עפ"י הערכת המשקל של המוצרים השקילים המוזמנים, ואולם החיוב בפועל יתבצע עפ"י שקילה של המוצרים בסמוך לאספקתם למשתמש.

3. מחירי המוצרים כוללים מס ערך מוסף (מע"מ).

4. משתמש מסכים ומאשר כי עליו לבצע הזמנה אשר שוויה הכולל יהיה שווה או יותר משווי ההזמנה המינימלית הקבוע בפלטפורמה על מנת לרכוש את המוצרים הכלולים בהזמנתו. יאנדקס רשאית לשנות בכל עת את שווי ההזמנה מינימלית בפלטפורמה לרבות להגדיל אותו ו/או להקטין אותו ללא הודעה מראש ושינוי זה נובע, בין היתר, נובע מביקוש באזור השירות הספציפי בו המשתמש מבצע הזמנה.

ביצוע הרכישה בפלטפורמה

1. הוספת מוצרים בודדים תיצור את סל הקניות שהמשתמש מבקש לרכוש וזאת מתוך מגוון המוצרים המוצגים בפלטפורמה.

2. סיום הרכישה, בתום מילוי הסל, יבוצע בלחיצה על כפתור "לתשלום" או כפתור דומה על המשתמש יהיה להזין את פרטי משלוח של ההזמנה לרבות שם המקבל, כתובת אספקה ופרטי קשר. כמו כן, בשלב זה רשאי המשתמש לשנות אמצעי תשלום המוזן במערכת.

3. בסיום התהליך יתקבל דף המאשר כי ההזמנה נוצרה ותועבר להמשך הטיפול.

4. שירותי פלטפורמת YANGO DELI אינו מהווה הצעה בלתי הדירה למכירת מוצרים. קבלת הזמנה מאת המשתמש לרכישת מוצרים תהווה הצעה של המשתמש לרכישתם וקבלת ההצעה תתבצע באמצעות אספקה בפועל של המוצרים, בכפוף למלאי הקיים במועד האספקה ובהתאם להוראות תקנון זה.

התשלום

1. התשלום בפלטפורמה יתבצע באמצעות כרטיס אשראי, השייך למשתמש או באמצעים אחרים ככל שנאפשר לך באפליקציה.

. ככל שיבחר המשתמש להשתמש בכרטיס אשראי אחר, יזין את כל הפרטים כנדרש בפלטפורמה, והנתונים החדשים שהזין המשתמש ישמרו בפלטפורמה יחד עם הנתונים הקודמים שהזין המשתמש. יאנדקס נעזרת בשירותי סליקה חיצוניים שעומדים בתקן PCI, תקן מחמיר שנועד להבטיח הגנה על נתוני כרטיסי אשראי, לצורך החיוב בכרטיסי אשראי. חברות הסליקה הן אלה ששומרות את פרטי כרטיס האשראי של המשתמש ומבצעות את החיובים בפועל.

2. משתמש יזין את פרטי כרטיס אשראי בממשק הפלטפורמה כדלקמן:

3. אם פרטי כרטיס הבנק נכונים, תקפים וניתן מבחינה טכנית להשתמש בכרטיס זה במסגרת הפלטפורמה, כרטיס האשראי האמור יהפוך להיות הכרטיס המקושר של המשתמש וניתן יהיה להשתמש בו לביצוע תשלומים. כל הכרטיסים המקושרים מוצגים בממשק הפלטפורמה; לנוחות המשתמש, הממשק מציג את 4 הספרות האחרונות של כל הכרטיס המקושר.

4. בכדי לאשר שפרטי הכרטיס המקושר נכונים ותקפים, סכום המוגבל ל-1 ש"ח ייגבה; אם העסקה תושלם בהצלחה, הסכום האמור יוחזר למשתמש. כישלון בגביית הסכום הלעיל משמעו כי אין אפשרות להוסיף את הכרטיס המקושר.

שעות פעילות YANGO DELI

1. הקלדה של הזמנה בפלטפורמה אפשרית בשעות פעילות הפלטפורמה, למעט אם היא מושבת לצורך תחזוקתו ו/או מכל סיבה אחרת. מועדי וזמני האספקה של ההזמנה, כפופים לתנאים המפורטים בתנאי שימוש זה להלן. בפלטפורמה מוצגים מועדי האספקה הזמינים למשלוח בהתאם לאזור בו מתבצע ההזמנה ובכפוף לאזורי השירות של YANGO DELI.

2. הזמנה ו/או שינוי הזמנה ו/או ביטול הזמנה באמצעות פניה לשירות לוקחות דרך צ'אט בפלטפורמה אפשרית בשעות פעילות מוקד שרות הלקוחות בלבד. שעות הפעילות יעודכנו מעת לעת על פי שיקול דעתה של יאנדקס, ללא צורך במתן הודעה מוקדמת, ויפורסמו בפלטפורמה.

3. שעות הפעילות של מוקד שרות לקוחות הינן כמפורט בפלטפורמה.

4. שעות הפעילות של YANGO DELI הינן כמפורט בפלטפורמה.

5. על אף האמור בכל מקום בתנאי שימוש זה, מובהר בזאת כי ייתכן ויחולו שינויים/ חריגות במועדי האספקה וכן במועדי שעות הפעילות של מוקד שירות הלקוחות ויאנדקס אינה מחויבת למועדים אלה.

אספקה

1. אספקת מוצרים שנרכשו ב-YANGO DELI אפשרית רק כאשר המען המבוקש נמצא בתוך אזור השירות, ואין מניעה טכנית או אחרת המונעת אספקת מוצרים כאמור.

2. המוצרים הנכללים בהזמנה יסופקו YANGO DELI (לעיל ולהלן: "המשלוח"), בכפוף לאמור בתנאי שימוש אלה בדבר זכותה של YANGO DELI שלא לספק מוצרים כלשהם, מאחד מהסניפים הפועלות במסגרת YANGO DELI אשר ייבחר על ידי הפלטפורמה ו/או המשתמש בהתאם למיקומו ו/או בחירתו. יובהר, כי אספקת המוצרים הינה אפשרית רק כאשר המען המבוקש נמצא בתוך אזור השירות כפי שיוגדר על ידי YANGO DELI בפלטפורמה ו/או אין מניעה טכנית או אחרת המונעת אספקת מוצרים כאמור.

3. מובהר, כי אספקת המוצרים בגין הזמנה שתתקבל תתבצע בכפוף לאישור העסקה ואמצעי התשלום ע"י חברת האשראי ו-YANGO DELI שומרת לעצמה את הזכות שלא לאשר תשלום אשר אינו מקובל עליה עפ"י שיקול דעתה הבלעדי.

4. אספקת המוצרים תתבצע במועד המשוער המפורט בפלטפורמה. יחד עם זאת, זמן המשלוח עשוי להשתנות עקב גורמים שונים (מזג האוויר, פקקים וכד') אשר אינם תלוים וקשורים ל -YANGO DELI. בכל מקרה, המתנת האספקה של 15 דקות לא תיחשב להפרת תנאי שימוש אלה ולמשתמש לא תהיה כל טענה ו/או תביעה ו/או דרישה בעניין זה.

5. YANGO DELI תשתדל לספק את כל המוצרים בהזמנה, אולם לא תמיד יהיו כל המוצרים זמינים לביצוע משלוח בזמן סביר. לכן, YANGO DELI אינה מתחייבת לספק את כל המוצרים בהזמנה בין אם צוין כי הם במלאי ובין אם לאו ולמשתמש לא תהיינה טענות כלשהן כלפי YANGO DELI בגין אי אספקת מוצר כלשהו מההזמנה. YANGO DELI תספק למשתמש רק את המוצרים שנמצאים במלאי הסניף המספק בעת הכנת המשלוח.

6. YANGO DELI לא תגבה, במסגרת ההזמנה, את מחיר המוצר/ים שלא יסופק/ו בהתאם לאמור לעיל.

7. במקרה והמשתמש או מי מטעמו לא יהיה נוכח בעת האספקה במען המבוקש לאספקה, והמשתמש לא יאשר לשליח להניח את המוצרים ליד דלת הכניסה, יוחזרו המוצרים לסניף YANGO DELI והזמנת המשתמש תתבטל ללא חיוב המשתמש.

8. אי עמידתYANGO DELI במועד האספקה המבוקש בשל סיבה אשר תלויה במשתמש, לא יפטור, בכל דרך שהיא, את המשתמש מחובתו לשלם עבור הזמנתו ל-YANGO DELI ותשלום עבור ההזמנה לא יוחזר.

9. למען הסר ספק מובהר כי שעון הפלטפורמה ונתונים של YANGO DELI יהווו ראיה סופית ומכרעת לעניין שעת אישור ההזמנה על ידי המשתמש בפלטפורמה ושעת הוצאת החשבונית על ידי YANGO DELI.

החזרת מוצרים

1. על המשתמש לבדוק את תכולת המשלוח עם קבלתו ולערוך השוואה הן להזמנה והן לחשבונית שתימסר לו בעת האספקה.

2. במקרה שתתגלה אי התאמה של המוצרים בעקבות הבדיקה הנ"ל, על המשתמש להודיע על כך, למוקד שירות הלקוחות דרך הפלטפורמה בתוך 24 שעות לאחר מועד האספקה. החזרת המוצרים כאמור תהיה בכפוף למדיניות החזרה המוצרים של YANGO DELI.

ביטול / שינוי הזמנה

1. המשתמש רשאי לבטל הזמנה ו/או לשנות אותה דרך הפלטפורמה לכל המאוחר עד לתחילת איסוף המוצרים בסניף YANGO DELI.

2. במקרה של שינוי שהוא עדכון של סל המוצרים, יעודכנו המחירים, המבצעים וההטבות בהזמנה בהתאם ליום סגירת ושליחת ההזמנה המעודכנת.

3. יודגש כי זכות המשתמש להחזרת מוצר וזכות המשתמש לביטול הרכישה תהיינה אך ורק בהתאם ובכפוף להוראות החוק, לרבות הוראות חוק הגנת הצרכן, התשמ"א - 1981, הוראות חוק המכר, התשכ"ח - 1968, והוראות חוק שירותי תשלום, תשע"ט-2019, ו/או בכפוף למדיניות YANGO DELI כפי שתהא מעת לעת.

הערות למוצר

1. הנתונים המופיעים על המוצרים נמסרו על-ידי ספקי המוצר ובאחריותם.

2. ייתכנו טעויות ו/או אי התאמות בסימון המוצרים.

3. אלרגניים / גלוטן – אין להסתמך על הפירוט המופיע במרכיבי המוצר כפי שמופיעים בפלטפורמה. יש לקרוא את המופיע על גבי המוצר לפני השימוש בו.

4. התמונות הינן להמחשה בלבד.

אחריות

1. חלק מהמידע בדבר המוצרים המוצעים למכירה בפלטפורמה מקבלת יאנדקס מיצרנים ו/או יבואני המוצרים (להלן: "היצרנים") והיא מזינה אותו לפלטפורמה כפי שהוא. יאנדקס אינה בודקת את מהימנות המידע, שלמותו, דיוקו או התאמתו לתכונות המוצרים בפועל ואנו מסתמכים על בדיקות היצרנים בהתאם לחוק. יאנדקס לא תישא באחריות לכל אי התאמה, חוסר, הטעיה או טעות הכלולים במידע או בקשר לטיבם או התאמתם לצורכיכם או לתיאורם. המפעילה אינה אחראית לכל מידע הנוגע למוצרים או למרכיביהם, המופיע במתכונים, סרטוני וידאו, טיפים בנושאי תזונה, בריאות.

2. השימוש בפלטפורמה הינו על אחריות המשתמש בלבד. השימוש בפלטפורמה ובתכנים ניתן לך חינם כמות שהוא (AS IS), ולא תהיה למשתמש כל טענה, תביעה או דרישה כלפי יאנדקס ו/או מי מטעמה בגין תכונות השימוש או השירות, יכולותיו ומגבלותיו, התאמתו לצרכיך.

3. יאנדקס לא תישא בכל אחריות לכל נזק שיגרם לך במישרין או בעקיפין כתוצאה מכך שהמוצרים אשר סופקו לך היו פגומים, מקולקלים, או לא תקינים, אלא אם כן ארע הפגם בשל רשלנות מצדה. במקרה זה, אחריות יאנדקס תהיה מוגבלת לסכום השווה למחיר ההזמנה.

4. יאנדקס אינה מתחייבת שהשירותים בפלטפורמה יינתנו כסדרם או בלא הפסקות, יהיו איכותיים, יתקיימו בבטחה וללא טעויות, ו/או הפרעות ויהיו חסינים מפני גישה בלתי מורשית למחשביה ו/או לתוכנותיה או מפני נזקים, קלקולים, תקלות או כשלים בין היתר בחומרה, בתוכנה, בקווי ובמערכות תקשורת, אצל יאנדקס או אצל מי מספקיה או אצלך, ולא תהיה לך כל טענה כלפי יאנדקס בקשר לכך. יתכן ובעתיד לא יהיה השירות זמין בשל צרכי תחזוקה, שדרוג או מכל סיבה אחרת.

5. ככל שהמשתמש יחויב בעת ביצוע ההזמנה בחיוב יתר או חיוב חסר, הנובע מחיוב שגוי של יאנדקס, המשתמש יזוכה בהפרש המלא בגינו ולא יהיה חייב בתשלום, או לחילופין יחויב בהפרש בגינו טרם חויב. ככל שמתבצע עיכוב במועד חיוב בסכום התשלום עבור ההזמנה, החיוב יתבצע במועד אחר ואין למשתמש כל טענה ו/או תביעה ו/או דרישה כנגד יאנדקס ו/או מי מטעמה ו/או מי ממנהליה ו/או מי מעובדיה ו/או מי מחברות קשורות אליה בגין האיחור בחיוב.

6. הצבת מידע מסחרי ו/או מידע פרסומי בפלטפורמה הינה למטרת מידע בלבד ולא יתפרשו כהצעה של יאנדקס ו/או מי מטעמה להשתמש ו/או המלצה, ו/או עידוד, ו/או הסכמה, ו/או הבעת תמיכה, ו/או חוות דעת מקצועית ו/או מתן חסות של הפלטפורמה, לתכנים ו/או לשירותים המוצעים בפלטפורמה אם וככל שיהיו. בעצם פרסום המוצרים של YANGO DELI אינו מביע דעתה של יאנדקס ו/או מי מטעמיה לגבי התאמת המוצרים לצרכי המשתמש ו/או רמתם ואיכותם של המוצרים ו/או של כל מידע, פרסומות, קישורים, שירותים, ומוצרים המוצגים בפלטפורמה. המפעילה ו/או מי מטעמה לא יישאו בכל אחריות לתוכן המודעות אם וככל שיהיה והמידע המסחרי שיפורסמו בפלטפורמה.

7. יאנדקס רשאית להפסיק מתן שירותים בפלטפורמה ו/או לסגור את הפלטפורמה ולשנות מעת לעת את מבנהו, מראהו, אופן תפעולו וזמינותם של השירותים והמוצרים המוצעים בהן וזאת ללא צורך להודיע למשתמשים מראש על כך. שימוש בפלטפורמה לאחר שינוי כלשהו בהן מהווה את הסכמת המשתמש לתנאי הפלטפורמה, כפי ששונו.

8. יאנדקס ו/או מי מטעמה אינם נושאים ולא יישאו אחריות כלפי המשתמש ו/או כלפי כל צד שלישי, לכל נזק (לרבות אך לא רק נזק בגין אובדן של בסיס נתונים, אובדן תוכנות, עלויות אספקה של שירות חלופי, או הפרעות בשירות) בין אם ישיר, עקיף, משני, נלווה, מיוחד או תוצאתי הנובע מהשימוש בפלטפורמה, מאי יכולת להשתמש בפלטפורמה, מרכישת טובין, רכישת שירותים, ביצוע עסקה, משלוח, או כתוצאה משימוש לא מורשה בפלטפורמה או כתוצאה משינוי המידע שנמסר על-ידך, לרבות נזק הנגרם כתוצאה מהפסד ברווחים, שימוש והפסד במידע ושאר נכסים בלתי מוחשים וזאת גם אם הפלטפורמה קיבלו הודעה על האפשרות לאותם הפסדים.

9. המשתמש אחראי לכל תוצאה ישירה או עקיפה הנובעת משימוש בפלטפורמה ועל המשתמש לשפות את יאנדקס ו/או מי מטעמו ולהגן עליה, בגין כל תביעה, טענה, דרישה הפסד, אבדן-רווח, תשלום, הוצאה או נזק, לרבות שכר טרחת עורך דין והוצאות משפט (כולל של צד ג' כלשהו), כתוצאה מאופן שימוש ו/או מחוסר יכולת שימוש בפלטפורמה ו/או מהפרת תנאי שימוש אלה. השימוש בפלטפורמה כפוף לכל החוקים והתקנות החלים על המשתמש והוא לא יפר כל חוק ו/או תקנה בקשר עם השימוש בפלטפורמה. כמו כן, המשתמש לא יבצע ו/או לא ינסה לבצע בדיקה ו/או בחינה של רגישות של המערכת, או לא יפצח אמצעי אבטחה או אימות, או לא יתערב או לא יפריע למערכות ו/או רשתות המחוברות לפלטפורמה או לא יפר את החוקים, תקנות, מדיניות או תהליכים של מערכות ו/או רשתות אחרות והמשתמש לא ישיג או לא ינסה להשיג גישה לא מורשית לפלטפורמה, לחשבונות של משתמשים אחרים, מערכות מחשבים ורשתות תקשורת המחוברות לפלטפורמה.

10. יאנדקס אינה יכולה להבטיח את אבטחת המידע ושמירתו באופן מוחלט ואינה מתחייבת שהפלטפורמה או השימוש דרכה יהיו חסינים לגמרי מפני גישה בלתי מורשית למידע או לתוכן המאוחסן בו. לפיכך, מובהר בזאת כי יאנדקס לא תהא אחראית ולא תישא בכל אחריות במקרה של חדירה או פריצה ו/או נזק כלשהוא שנגרם בשל השימוש בפלטפורמה בתוכן המוצג בו ו/או בשירותים הנלווים לו, על-ידי המשתמש בפלטפורמה או מי מטעמו.

קניין רוחני

1. הקניין הרוחני בכלל זה זכויות היוצרים ו/או סמני המסחר ו/או המדגמים ו/או הפטנטים וכיוצא באלה זכויות בפלטפורמה, לרבות עיצוב הפלטפורמה, התוכנות, היישומים, הקבצים הגרפיים, הטקסטים, התמונות, הטכנולוגיות, התהליכים, התכנים, האייקונים, קוד המחשב וכל חומר אחר הכלול בפלטפורמה ("תכולת הפלטפורמה"), הינם בבעלות מלאה ובלעדית של יאנדקס ו/או ישויות משפטיות הקשורות אליה , ו/או של צדדים שלישיים שיאנדקס קיבלה מהם רישיון שימוש כדין.

2. יאנדקס שומרת על כל זכויותיה וקניינה בתכולת הפלטפורמה , ואין בעצם הכניסה לפלטפורמה כדי להעניק רישיון ו/או זכות כלשהם בתכולה זו ו/או בחלק ממנה.

3. כל אזכור בקטלוגים השונים של שם, סימן מסחר, מוצר ו/או שירות של צד שלישי כלשהו, מופיע אך ורק כשירות למשתמש ואין בו כדי להוות פרסומת, קידום מכירות, מתן חסות ו/או המלצה כלשהי לגביהם. מובהר כי הפרה של זכויות קניין רוחני של צד ג' על ידי ספק כלשהו תהיה באחריות הספק הרלוונטי בלבד.

4. הפלטפורמה ותכולתה נועדו אך ורק לשימוש פרטי ולא מסחרי, והשימוש בהם מוגבל אך ורק למטרות מכירת וקניית המוצרים באמצעותם. אין להעתיק, לשכפל, להפיץ, למכור ו/או להציג חומר כמפורט לעיל אלא אם ניתנה רשות לכך מראש ובכתב מיאנדקס.

שיפוי

המשתמש מתחייב לשפות את יאנדקס בגין כל נזק, הפסד, אבדן רווח, תשלום או הוצאה שייגרמו לה, לרבות שכ"ט עו"ד והוצאות משפט, עקב הפרת תנאי שימוש אלה ו/ או עקב כל פגיעה אחרת בפלטפורמה על ידי המשתמש ו/או מי מטעמו.

המחאת זכויות

יאנדקס תהא רשאית להעביר את התחייבויותיה וזכויותיה על פי תנאי שימוש אלו לכל צד שלישי ללא צורך בקבלת הסכמה מהמשתמש.

החוק החל ותניית שיפוט

1. על ההתקשרות בין המשתמש לבין יאנדקס ובמסגרת תנאי שימוש אלה יחולו הוראות הדין הישראלי בלבד.

2. מקום השיפוט הבלעדי לכל עניין הנוגע לתנאי שימוש אלה ולשימוש בפלטפורמה הינו בבתי המשפט המוסמכים במחוז תל אביב -יפו בלבד.
