Terms of Use of Yandex SpeechKit
This document contains specific Terms of Use of Yandex SpeechKit (“the Service”) and is an integral part of Yandex.Cloud Customer Agreement (“Agreement”) and Service Terms set forth at https://yandex.com/legal/cloud_service_terms/. Capitalized terms used herein but not defined herein shall have the meanings set forth in Agreement and Linked Documents.
1. Functional Features of the Service
1.1. The Service allows the Customer to remotely process information by sending Requests or Brand Voice Requests to the Service and further converting the sent Requests or Brand Voice Requests into text (speech recognition) and converting text into speech (speech synthesis).
1.2. As part of the Service, the Customer may use two types of conversion: speech recognition and speech synthesis.
1.3. The Customer is provided with the following options:
1.3.1. Using the Service for its functional purpose to provide End Users with the ability to send Requests or Brand Voice Requests to the Service and further converting the sent Requests or Brand Voice Requests into text (speech recognition) and converting text into speech (speech synthesis);
1.3.2. Providing the Customer's Contractors, on the basis of non-gratuitous contracts, with access to the functional features of the Service for the purpose of providing End Users with the ability to send Requests or Brand Voice Requests to the Service and and further converting the sent Requests or Brand Voice Requests into text (speech recognition) and converting text into speech (speech synthesis);
1.3.3. Inclusion of the Service's software code in the Customer's software and further provision of the Service's functions as part of the Customer's software to Contractors under non-gratuitous contracts.
1.4. The information transmitted to the Service within the scope of the options specified in clause 1.3 hereof is considered to be posted by the Customer in the Service.
2. Pricing
2.1. The use of the Service is chargeable.
2.2. The cost of using the Service (Service Fee) is determined in accordance with the Service Rates and billing units specified on the Website.
2.3. The amount of the Service Fee depends on the type of Requests and the scope of use of the Service.
2.4. Yandex may from time to time provide the Customer with additional functionality of the Service subject to additional charges.
3. Additional Terms
3.1. Requests or Brand Voice Requests to the Service can be made by users with a registered Yandex ID account.
3.2. The Customer shall be solely responsible for the safety and confidentiality of registration data (login and password). All actions performed in the Management Console using the Customer’s login and password shall be considered as performed by the Customer, while the Customer will be responsible for such actions. All actions performed using the unique user key (IAM token) received by the Customer shall be considered as performed by the Customer, while the Customer will be responsible for such actions.
3.3. The Customer acknowledges that only Statistics Data shall be used for the purpose of performing the Agreement and these Terms, in particular, in order to determine the number of Requests or Brand Voice Requests, the amount of remuneration, as well as the date of granting access to the Service and its duration.
3.4. Yandex and its affiliates shall use the information contained in Requests or Brand Voice Requests for the purposes of providing the Service, unless otherwise specified herein.
4. Personal Data Processing
4.1. When using the Service, the Customer shall instruct Yandex to process personal data that may be posted by the Customer in the Service.
4.2. The Data Processing Agreement shall apply to the relations between the parties when using the Service, to the extent that it does not conflict with these Terms of Use, and taking into account the functional features of the Service. If there are any discrepancies between the Data Processing Agreement and these Terms of Use, the latter shall prevail.
4.3. The Customer warrants that it will ensure the existence and validity of legal grounds for the processing of personal data sufficient in accordance with the applicable law for their processing by Yandex to the extent stipulated by these Terms of Use.
4.4. Information posted by the Customer when using the Service may be used by Yandex and its Affiliates for the purposes of debugging and training models (excluding the Customer's Model in accordance with Section 6 hereof), improving the quality of the Service if the Customer activates such an option when configuring the Service in accordance with the documentation.
The Customer undertakes to ensure the lawfulness, including the legal basis for the transfer, as well as the subsequent processing of data by Yandex and its Affiliates for the specified purposes.
4.5. The Customer warrants that any information posted by the latter when using the Service does not contain information that is classified as a secret protected by law, special categories of personal data, biometric personal data, or data the processing of which is prohibited in accordance with applicable law.
5. Intellectual Property
5.1. The Customer shall be entitled to use the Service, Generated Content and Brand Voice Generated Content in any way that does not contradict these Terms and applicable law. Any use beyond the scope of the Terms is possible only with the prior approval of Yandex.
5.2. When starting the use of the Service, the Customer shall warrant that it does not and will not perform any actions aimed at circumventing any technical means of protection against an unauthorized use of the Service.
Any copying, reproduction, processing, distribution, making available to the public or other use of the Service beyond the features provided in accordance with these Terms and any use thereof without the prior consent of Yandex are prohibited.
6. Features of Brand Voice Requests
6.1. Yandex provides services for training the Customer's Model based on Audio Recordings within the Service, with the purpose of subsequently providing the Customer with access to the Customer's Model as part of the Customer's Model support service.
6.2. To train the Customer's Model in accordance with clause 6.1, the Customer provides Yandex with Audio Recordings. Audio Recordings are used to train the Model, which is the basis for the functioning of the Customer's Model.
6.3. The Customer shall grant Yandex a royalty-free, ordinary (non-exclusive) license for the right to use the transferred Audio Recordings for the entire term of the exclusive rights to the Audio Recordings without limitation on the territory of use by means of reproduction, modification and amendment, addition, reformatting, inclusion in complex and/or composite works solely for the purpose of creating the Customer's Model, as well as the functioning of Brand Voice. For these purposes, Yandex shall be entitled to grant the right to use Audio Recordings on the basis of a sublicense agreement to third parties without obtaining the consent of the Customer, including after the expiration of the agreement. Yandex undertakes not to create Models for third parties that are voiced using the Voice of the Customer's speaker.
6.4. The exclusive right to Audio Recordings shall remain with the Customer.
6.5. The Customer warrants and represents to Yandex that it has all the necessary rights and powers to grant Yandex a non-exclusive (ordinary) license to use the Audio Recordings. In the event of any claims or lawsuits from third parties against Yandex or its Affiliates regarding the use of Audio Recordings in compliance with the conditions set forth in clauses 6.2 - 6.3 of the Terms, the Customer will settle these claims by its own efforts and at its own expense, and will also reimburse Yandex for all losses.
6.6. The exclusive right to the Model and the Customer's Model belongs to Yandex and is in no way transferred to the Customer. The Customer shall have the right to use the Customer's Model in accordance with these Terms by providing Yandex with remote access to the Service via electronic communication channels.
6.7. The Customer's Model may not be used by Yandex for any purpose other than to provide the Customer with services under the Agreement, except in cases specified in these Terms or when the Customer has provided written consent for a different use case.
6.8. The creation of the Customer's Model using the functionality of the Brand Voice Lite Service is carried out by the Customer independently in the Management Console without involving Yandex.
Capitalized terms used in the Terms and not defined in the Offer or the terms of use of other Services shall have the following meanings:
"Request" means a request to the Service containing a speech recording for the purpose of its recognition, and/or text for the purpose of speech synthesis of this text.
"Brand Voice Request" means a request to the Service containing the Customer's text for the purpose of synthesizing the request in the Voice of the Customer's speaker.
"Contractor" means a third party, a contractor of the Customer, to whom the Customer provides access to the functional features of the Service under non-gratuitous contracts.
"End User" means any person who uses the functional features of the Service by sending Requests or Brand Voice Requests to the Service.
"Voice" means the material basis of speech, which serves as a way of expressing thoughts/text, ensuring the audibility of oral speech.
"Audio Recordings" means sound signals obtained as a result of sound recording carried out in accordance with Yandex texts and instructions by the Voice of the Customer's speaker, recorded in a specific file, and uploaded to the Console.
"Model" means a functional feature of the Speech Technology Service that provides the ability to synthesize unique speech voiced by Speech Kit Voices located at: https://yandex.cloud/ru/docs/speechkit/tts/voices.
"Customer's Model" means a model voiced in a Voice similar to that of the Customer's speaker, trained on the basis of the Customer's Audio Recordings.
"Brand Voice" means a functional feature of the Service to synthesize text in the Voice of the Customer's speaker, in accordance with the types available at: https://yandex.cloud/ru/docs/speechkit/tts/brand-voice/. The synthesis in the Voice of the Customer's speaker is provided to the Customer and is inaccessible to other third parties, except in cases where the Customer has independently provided such access.
"Generated Content" means an audio recording or text resulting from the conversion of the Customer's text or audio by the Service.
"Brand Voice Generated Content" means an audio recording resulting from the conversion of the Customer's text by the Brand Voice Service into the Voice of the Customer's speaker.
