REQUIREMENTS TO PARTNER

This document «Requirements to Partner» is an additional agreement to the Partnership agreement ("Additional agreement").

The terms used in this Additional agreement with a capital letter have the meaning defined in the Agreement and the Partnership agreement.

General requirements

  1. Partner must not be a bankrupt and (or) shouldn’t be legal entity whose property has been seized by a court or an administrative body’s decision and (or) whose economic activity has been suspended for any other reason.

  2. Partner should have all permissions, licenses and approvals necessary to distribute the Services to Users in accordance with the legislation of its location and the legislation of User’s country establishment.

  3. Partner must not sale and distribute Services to Users from the following countries: Cuba, Iran, North Korea, Syria.

  4. Partner must comply with the requirements of applicable legislation and the legislation of User’s country establishment regarding the collection, processing and storage of personal data of Users and potential Users, including obtaining the consent of Users and potential Users to collect, process and store personal data, disclose and transfer personal data of Users and potential Users for processing to Yandex and its Affiliates.

  5. Partner is obliged to ensure the confidentiality and security of User data storage in the process of providing services to Users in accordance with the terms of the Partnership agreement.

  6. The services provided by the Partner to the User which aren’t subject of the Partnership agreement must be provided by the Partner in compliance with the requirements of applicable law.

  7. Partner is obliged, within 5 (five) days from the date of the relevant Yandex request, to provide with reports on the services provided for the distribution and sale of Services to Users for the requested Accrual Period.

  8. In case if User decide to work directly with Yandex Partner undertakes with the consent of User to transfer to Yandex all information that the Partner possesses at the time of the User's transition to Yandex for service, including information regarding the debts of the User and the User's Affiliates (subject to the consent of the User's Affiliates) who are also Users of Partner.

  9. The Partner is obliged to provide technical support to Users within the framework provided for by the Provision on the Delineation of Technical Responsibility of Yandex and Partner posted on the Site at the link https://yandex.com/legal/cloud_responsibilitiesdelineation.

  10. Partner is obliged to inform Users about the changes in documentation which Users must follow and also about new documentation which Partners must follow.

  11. Partner is obliged, with the consent of the User, to provide information about Users who have concluded a User agreement within a period not exceeding 5 business days from the date of receipt of the Yandex request. In this case, the Partner is responsible for the accuracy and completeness of the information provided to Yandex.

  12. Partner is obliged to inform Yandex about all cases and incidents identified by the Partner during the distribution and implementation of Services that may affect the operation of the Services and the Yandex.Cloud Platform.

  13. Upon Yandex's request, Partner is obliged to provide documents and information confirming compliance with the requirements for Partner provided for in this Additional agreement within 5 business days from the date of sending such a request.

  14. Partner is obliged to behave in good faith when carrying out activities within the framework of the partner program, not to allow the exercise of their rights established by the Partnership agreement with the intention of causing losses to other partners of the Yandex.Cloud partner network, as well as not to carry out activities aimed at reducing the motivation of other Yandex partners in the development of their user network, not to extract the benefits of his unscrupulous behavior.
