AIMS ANNEX: GHANA

 

1. GENERAL PROVISIONS

1.1. This AIMS Annex apply to the relevant Advertising, Informational, and Marketing Services Agreement (the ‘Agreement’) which provides for that the AIMS Annex is incorporated therein by reference.

1.2. By entering into the Agreement, the Counterparty consents to be bound by the AIMS Annex without any additional formalities (including without limitation without signing the AIMS Annex or receiving a printed copy of the AIMS Annex).

1.3. MLU Africa B.V. (Yango) may amend the AIMS Annex when considers necessary without the Counterparty’s consent and, notwithstanding anything to the contrary, such amended AIMS Annex shall be binding on the Counterparty when they are made available via an Electronic Notice.

1.4. Capitalised words and expressions that are not defined in the AIMS Annex shall have meanings attached to them in the Agreement, the General Terms, and the E-Service Agreement and in the absence of such meaning the provisions of Clause 1.3 of the General Terms shall apply.

1.5. The AIMS Annex is made in English and in the Country Language. In case of any discrepancies, the English version shall prevail.

 

2. AMENDMENTS OF AND ADDITIONS TO THE AGREEMENT

2.1. This section contains provisions that amend, disapply, and (or) supplement the existing provisions the Agreement. Unless otherwise expressly provided for in this section, the relevant provision shall be deemed to supplement (for the avoidance of doubt: not to amend or disapply) the Agreement.

2.2. Clause 1.1.7 of the Agreement: Additional criteria which an Approved Vehicle shall satisfy:

2.2.1. it is actually used to render Transfer services at least 72 hours per calendar week (from midnight on Mondays to 11:59 p.m. on Sundays);

2.3. Clause 4.4.4 of the Agreement: the number of Approved Vehicles that are actually used to provide Transfer services at any time during any Reporting Period shall be equal to or more than eighty (80) per cent of all Approved Vehicle of the Counterparty.

2.4. Section 6 of the Agreement (‘AIMS Fee’):

2.4.1. Provided that the amount of the AIMS Fee due to the Counterparty in a relevant Reporting Period is equal to or exceeds the one hundred (100) units of the Currency, Yango shall transfer such amount within this Reporting Period.

2.4.2. The Counterparty shall, by the end of the fifth (5th) business day of a Reporting Period, send an Electronic Notice containing an electronic report (that is a scanned PDF copy of a signed hard copy report) with regard to the Advertising and Marketing Services (i) rendered pursuant to the Agreement in the immediately preceding Reporting Period, or, if agreed by the Parties via an Electronic Notice, (ii) to be rendered pursuant to the Agreement in the upcoming Reporting Period or Reporting Periods. The template electronic report is attached as Schedule 1 to the AIMS Annex.

2.4.3. If, within thirty (30) calendar days from the date of the electronic report, the Counterparty has not received from Yango an Electronic Notice with Yango’s approval of or objections to the electronic report, then:

(a) Yango shall not be deemed (i) to have accepted and agreed with the content of the electronic report and (ii) to have confirmed that the Advertising and Marketing Services rendered in a relevant Reporting Period in all respects satisfy the Agreement,

(b) the Counterparty shall immediately send again to Yango an Electronic Notice with the relevant electronic report, and

(c) the Counterparty shall not issue an invoice with regard to the relevant Advertising and Marketing Services.

2.4.4. Provided that Yango has approved the electronic report by an Electronic Notice, the Counterparty shall send to Yango by an Electronic Notice containing an invoice with regard to the approved Advertising and Marketing Services. The template invoice is attached as Schedule 2 to the AIMS Annex.

2.4.5. Notwithstanding anything to the contrary in the Agreement, no payment of the AIMS Fee with regard to the Advertising and Marketing Services shall be due to the Counterparty until:

(a) the Counterparty has delivered to Yango the electronic report that fully complies with the Agreement and Schedule 1 to the AIMS Annex,

(b) Yango has approved the electronic report by an Electronic Notice,

(c) the Counterparty has delivered to Yango the invoice that fully complies with the Agreement, Schedule 2 to the AIMS Annex, and the electronic report, and

(d) there is no outstanding electronic reports and (or) invoices (whether (i) undelivered or untimely delivered for any reason, or (ii) otherwise uncompliant with the Agreement, the AIMS Annex, or Schedule 1 or Schedule 2 to the AIMS Annex) for any past Reporting Periods.

2.4.6. Yango shall make a payment to the Counterparty pursuant to the compliant invoice within fifteen (15) days as of the date of receipt of an Electronic Notice containing such invoice.

2.4.7. If in any Reporting Period the Counterparty has failed for any reason to comply, whether materially or not, with more that fifty per cent of the Requests received in this Reporting Period, which includes the Requests to which a Discount has been applied, then:

(a) the AIM Services shall be deemed not rendered in their entirety in that Reporting Period,

(b) the AIMS Fee shall not be payable to the Counterparty in that Reporting Period, and

(c) no electronic report shall be executed by the Parties.

2.4.8. if the Counterparty and (or) its Driver has acted in a way that gives Yango a right to terminate the E-Service Agreement, the Agreement, and (or) suspend or terminate access to the Service, then any Request tainted by such acts of the Counterparty and (or) its Driver shall be disregarded for the purposes of calculation of the AIMS Fee and shall count towards the number of Requests that have not been complied with by the Counterparty (Clause 2.4.7 of the AIMS Annex). In the Counterparty Account such Request will be marked as ‘bad’ (or any equivalent identification) and such Driver will be marked as ‘fraudster’ (or any equivalent identification).

2.4.9. If at any time for the purses of the Agreement Yango needs to determine the conversation rate of the Currency into the Country Currency or vice versa, then Yango shall apply the Official Rate.

2.4.10. The AIMS Fee for the Informational Services rendered in a Reporting Period with regard to a relevant Request shall be calculated in the Country Currency as follows:

B multiplied by (X minus Y), where

(a) ‘B’ shall mean the value amounting to ‘1.00’;

(b) ‘X’ shall mean a variable value automatically determined by the Service on a discretionary basis with reference the particulars of a relevant Request (including without limitation the pick-up location, time of day, day of the week etc), which Request has been fully completed and complied with in Accra;

(c) ‘Y’ shall mean the value amounting to the Transfer Fee (in the Country Currency) for a relevant Request, which Request:

i. has been fully completed and complied with in Accra during a relevant Reporting Period, and

ii. relates to the ‘Economy’ tariff.

(d) In all cases when the value of ‘Y’ is equal to or exceeds the value of ‘X’, the AIMS Fee for the Informational Services with regard to a relevant Request shall be deemed to be equal to zero (0).

2.4.11. The AIMS Fee with regard to the Advertising and Marketing Services listed in Clause 4.1(a),(b) of the Agreement in a Reporting Period shall be calculated in the Country Currency as follows:

B multiplied by (Z plus A), where

(a) ‘B’ shall mean the value amounting to ‘1.00’;

(b) ‘Z’ shall mean the value amounting to the cumulative monetary amount in the Country Currency of Discounts granted by the Counterparty in a Reporting Period;

(c) ‘A’ shall mean the value of an additional fee of the Counterparty (in the Country Currency) which may be discretionary determined by Yango on a case by case basis for the Counterparty’s various activities which include without limitation maintaining and increasing Users’ loyalty, increasing the number of available Vehicles connected to the Service, improving Users’ satisfaction and other relevant activities.

2.4.12. The AIMS Fee with regard to the Advertising and Marketing Services listed in Clause 4.1(c) of the Agreement shall be agreed by the Parties via an Electronic Notice.

2.4.13. The AIMS Fee with regard to the Advertising and Marketing Services listed in Clause 4.1(d) of the Agreement in a Reporting Period shall be calculated in the [Country Currency] as follows:

(a) ‘R’ shall mean the value amounting to [AMOUNT] units of the [Country Currency];

(b) ‘N’ shall mean the [NUMBER] of Drivers that have qualified as successful Drivers in a relevant Reporting Period, where:

i.

i. a Driver is considered ‘successful’ if:

01: a Driver has been invited to use the Service for Drivers by an eligible Driver (as defined below) pursuant to the rules of the Clause 4.1(d) promotion,

02: a Driver, before being invited by an eligible Driver, has not been using the Service for Drivers,

03: a Driver’s access to the Service has not been suspended or terminated, and

04: a Driver, after being invited by an eligible Driver, has completed at least 10 of rides ordered by Users via the Service provided that each ride:

  • is not fraudulent and this has been confirmed to the satisfaction of Yango as provided for in the E-Service Agreement; if a ride is fraudulent, then all rides made by a Driver from 00:00 until 23:59 on that day will not count towards the total number of rides, and
  • has been started and completed within the geographical area of the Clause 4.1(d) promotion.

ii. a Driver is considered ‘eligible’ if:

01: a Driver’s access to the Service has not been suspended or terminated,

02: a Driver has not been denied participation in the Clause 4.1(d) promotion, or a Driver’s participation in the Clause 4.1(d) promotion has not been suspended or terminated, which will be the case, without limitation, in the circumstances when three (3) invited new Drivers’ access to the Service has not been suspended or terminated as provided for in the E-Service Agreement (for fraudulent or unconscionable behaviour towards the Service or other reasons),

03: a Driver has not terminated his or her contractual relations with the Counterparty by the time when a Driver has qualified as a successful Driver.

2.4.14. Yango may set off or deduct any amount from any payment that is due and payable to or by the Counterparty pursuant to the Agreement without any notice to or agreement or permission of the Counterparty and without signing any document.

1.4. Capitalised words and expressions that are not defined in the AIMS Annex shall have the meanings attached to them in the Agreement, the General Terms, and the E-Service Agreement and in the absence of such meaning the provisions of Clause 1.3 of the General Terms shall apply.

1.5. The AIMS Annex is made in English and in the Country Language. In case of any discrepancies, the English version shall prevail.

 

2. AMENDMENTS OF AND ADDITIONS TO THE AGREEMENT

2.1. This section contains provisions that amend, disapply, and (or) supplement the existing provisions the Agreement. Unless otherwise expressly provided for in this section, the relevant provision shall be deemed to supplement (for the avoidance of doubt: not to amend or disapply) the Agreement.

2.2. Clause 1.1.7 of the Agreement: Additional criteria which an Approved Vehicle shall satisfy:

2.2.1. it is actually used to render Transfer services at least 72 hours per calendar week (from midnight on Mondays to 11:59 p.m. on Sundays);

2.2.2. INTENTIONALLY LEFT BLANK

2.3. Clause 4.4.4 of the Agreement: the number of Approved Vehicles that are actually used to provide Transfer services at any time during any Reporting Period shall be equal to or more than fifty (50) per cent of all Approved Vehicle of the Counterparty.

2.4. Section 6 of the Agreement (‘AIMS Fee’):

2.4.1. Provided that the amount of the AIMS Fee due to the Counterparty in a relevant Reporting Period is equal to or exceeds five hundred (500) units of the Country Currency, Yango shall transfer such amount within this Reporting Period.

2.4.2. Yango will issue an invoice on behalf of the Counterparty with regard to the Advertising and Marketing Services, but no later than the 15th day of the end of the Reporting period in which the services were rendered or advance payments were made (if any).

2.4.3. Notwithstanding anything to the contrary in the Agreement, no payment of the AIMS Fee with regard to the Advertising and Marketing Services shall be due to the Counterparty until:

(a) Yango has delivered to the Counterparty the invoice that fully complies with the Agreement and applicable VAT legal provision, and

(b) there are no outstanding invoices—whether (i) undelivered or untimely delivered for any reason, or (ii) otherwise incompliant with the Agreement, the AIMS Annex—for any past Reporting Periods.

2.4.4. Yango shall make a payment to the Counterparty pursuant to the compliant invoice within thirty (30) days as of the invoice issuing date.

2.4.5. If in any Reporting Period the Counterparty has failed for any reason to comply, whether materially or not, with more that five (5) per cent of the Requests received in this Reporting Period, which includes the Requests to which a Discount has been applied, then:

(a) the AIM Services shall be deemed not rendered in their entirety in that Reporting Period,

(b) the AIMS Fee shall not be payable to the Counterparty in that Reporting Period.

2.4.6. if the Counterparty and (or) its Driver has acted in a way that gives Yango a right to terminate the E-Service Agreement, the Agreement, and (or) suspend or terminate access to the Service, then any Request tainted by such acts of the Counterparty and (or) its Driver shall be disregarded for the purposes of calculation of the AIMS Fee and shall count towards the number of Requests that have not been complied with by the Counterparty (Clause 2.4.7 of the AIMS Annex). In the Counterparty Account such Request will be marked as ‘bad’ (or any equivalent identification) and such Driver will be marked as ‘fraudster’ (or any equivalent identification).

(a) ‘B’ shall mean the value amounting to ‘1.00’;

(b) ‘X’ shall mean a variable value automatically determined by the Service on a discretionary basis with reference to the particulars of a relevant Request (including without limitation the pick-up location, time of day, day of the week etc), which Request has been fully completed and complied with in Romania;

(c) ‘Y’ shall mean the value amounting to the Transfer Fee (in the Country Currency) for a relevant Request, which Request:

i. has been fully completed and complied with in Romania during a relevant Reporting Period, and

ii. relates to the ‘Economy’ tariff.

(d) In all cases when the value of ‘Y’ is equal to or exceeds the value of ‘X’, the AIMS Fee for the Informational Services with regard to a relevant Request shall be deemed to be equal to zero (0).

2.4.9. The AIMS Fee with regard to the Advertising and Marketing Services listed in Clause 4.1(a),(b) of the Agreement in a Reporting Period shall be calculated in the Country Currency as follows:

B multiplied by (Z plus A), where

(a) ‘B’ shall mean the value amounting to ‘1.00’;

(b) ‘Z’ shall mean the value amounting to the cumulative monetary amount in the Country Currency of Discounts granted by the Counterparty in a Reporting Period;

(c) ‘A’ shall mean the value of an additional fee of the Counterparty (in the Country Currency) which may be discretionary determined by Yango on a case by case basis for the Counterparty’s various activities which include without limitation maintaining and increasing Users’ loyalty, increasing the number of available Vehicles connected to the Service, improving Users’ satisfaction and other relevant activities.

2.4.10. The AIMS Fee with regard to the Advertising and Marketing Services listed in Clause 4.1(d) of the Agreement in a Reporting Period shall be calculated in the Country Currency as follows:

R multiplied by N, where

(a) ‘R’ shall mean the value amounting to four hundred (400) units of the Country Currency;

(b) ‘N’ shall mean the number of Drivers that have qualified as successful Drivers in a relevant Reporting Period, where:

i. a Driver is considered ‘successful’ if:

01: a Driver has been invited to use the Service for Drivers by an eligible Driver (as defined below) pursuant to the rules of the Clause 4.1(d) promotion,

02: a Driver, before being invited by an eligible Driver, (i) has not been using the Service for Drivers, or (ii) has been using the Service for Drivers but has been inactive (that means that such Driver has completed no rides ordered by a User via the Service) for at least forty five (45) consecutive calendar days,

03: a Driver’s access to the Service has not been suspended or terminated,

04: when registering with the Service for Drivers, a Driver has provided an eligible Driver’s unique reference code, and

05: a Driver, after being invited by an eligible Driver and providing that eligible Driver’s unique reference code, has completed in thirty (30) consecutive calendar days at least fifty (50) of rides ordered by Users via the Service provided that each ride:

  • is not fraudulent and this has been confirmed to the satisfaction of Yango as provided for in the E-Service Agreement; if a ride is fraudulent, then all rides made by a Driver from 00:00 until 23:59 on that day will not count towards the total number of rides, and
  • has been started and completed within the geographical area of the Clause 4.1(d) promotion.

ii. a Driver is considered ‘eligible’ if:

01: a Driver’s access to the Service has not been suspended or terminated,

02: a Driver has not been denied participation in the Clause 4.1(d) promotion, or a Driver’s participation in the Clause 4.1(d) promotion has not been suspended or terminated, which will be the case, without limitation, in the circumstances when three (3) invited new Drivers’ access to the Service has not been suspended or terminated as provided for in the E-Service Agreement (for fraudulent or unconscionable behaviour towards the Service or other reasons),

03: a Driver has completed at least one (1) ride ordered by a User via the Service,

04: a Driver has provided his or her unique reference code to an invited Driver, and

05: a Driver has not terminated his or her contractual relations with the Counterparty by the time when an invited Driver has qualified as a successful Driver;

2.4.11. The AIMS Fee with regard to the Advertising and Marketing Services listed in Clause 4.1(c) of the Agreement shall be agreed by the Parties via an Electronic Notice.

2.5. Clause 4.2 of the Agreement is amended: The details of the Advertising and Marketing Services, including timing and scope, may be agreed by the Parties via Electronic Notices.

2.6. Clause 8.1 of the Agreement is amended: The Agreement and any non-contractual obligations arising out of or in connection with the Agreement shall be governed by and construed in accordance with the Country Law, without regard to its conflict of law provisions.

2.7. Clause 8.2 of the Agreement is amended: Any Party may refer a Dispute to be resolved by final arbitration organized by the Court of International Commercial Arbitration of the Chamber of Commerce and Industry of Romania (“CICA”), in accordance with its Arbitration Rules. The award shall be final, binding and enforceable. Further details on the Dispute resolution are provided in the General Terms.

ANEXA PRIVIND SPIM: ROMÂNIA

Începând cu 1 februarie 2020

 

1. PREVEDERI GENERALE

1.1. Prezenta Anexă privind SPIM se aplică în mod corespunzător Contractului de Servicii de Publicitate, Informare și Marketing ("Contract") care prevede că Anexa privind SPIM este încorporată în acesta prin referință.

1.2. Prin încheierea acestui Contract, Partenerul Contractual este de acord să fie ținut de Anexa privind SPIM fără efectuarea altor formalități suplimentare (inclusiv, fără a se limita la fără a semna Anexa privind SPIM sau fără a primi o copie printată a Anexei privind SPIM).

1.3. Yango poate modifica Anexa privind SPIM oricând va considera necesar fără a obține acordul Partenerului Contractual și, fără a aduce atingere unor prevederi contrare, Anexa privind SPIM astfel modificată va fi obligatorie pentru Partenerul Contractual din momentul în care este accesibilă acestuia printr-o Notificare Electronică.

1.4. Cuvintele și expresiile scrise cu majusculă, care nu sunt definite în Anexa privind SPIM, au semnificațiile care le sunt asociate în Contract, Termenii Generali, Contractul privind Serviciile Electronice, iar în absența unor astfel de semnificații se vor aplica prevederile Clauzei 1.3 din Termenii Generali.

1.5. Anexa privind SPIM este redactată în engleză și în Limba Țării. În caz de neconcordanțe, versiunea în limba engleză va prevala.

 

2. MODIFICĂRI ȘI ADĂUGĂRI LA CONTRACT

2.1. Această secțiune conține prevederi care modifică, anulează și (sau) completează prevederile existente ale Contractului. În afară de cazul în care este prevăzut altfel în această secțiune, se va considera că prevederea relevantă completează (pentru evitarea oricărui dubiu: nu modifică sau anulează) Contractul.

2.2. Clauza 1.1.7 a Contractului: Criterii suplimentare pe care Vehiculul Aprobat trebuie să le îndeplinească:

2.2.1. este folosit pentru a presta servicii de Transfer cel puțin 72 de ore într-o săptămână calendaristică (de la miezul nopții în zilele de luni până la 23:59 în zilele de duminică);

2.2.2. ÎNTÂNT STÂNGUL STÂNG

2.3. Clauza 4.4.4. a Contractului: numărul de Vehicule Aprobate care sunt folosite pentru a presta servicii de Transfer în orice moment al Perioadei de Raportare trebuie să fie egal cu sau mai mare de cincizeci (50) la sută din numărul total de Vehicule Aprobate ale Partenerului Contractual.

2.4. Secțiunea 6 din Contract ("Taxa pentru SPIM"):

2.4.1. În cazul în care valoarea Taxei pentru SPIM datorată Partenerului Contractual într-o Perioadă de Raportare determinată este egală cu sau depășește cinci sute (500) de unități ale Monedei Țării, Yango va transfera o astfel de sumă în decursul respectivei Perioade de Raportare.

2.4.2. Yango va emite o factură pe seama Partenerului Contractual cu privire la Serviciile de Publicitate și Marketing, dar nu mai târziu de 15 zile de la sfârșitul unei Perioade de Raportare în care au fost prestate serviciile sau au fost realizate plăți anticipate (dacă există).

2.4.3. Fără a aduce atingere unor clauze contrare din Contract, nicio plată a Taxei pentru SPIM cu privire la Serviciile de Publicitate și Marketing nu va fi datorată Partenerului Contractual până când:

(a) Yango a trimis către Partenerul Contractual factura care îndeplinește toate condițiile din Contract și prevederile legale fiscale aplicabile, și

(b) nu există facturi scadente — fie (i) netrimise sau trimise la un moment nepotrivit din orice motiv sau (ii) altfel necorespunzătoare prevederilor Contractului, Anexei privind SPIM — pentru orice Perioada de Raportare trecută.

2.4.4. Yango va efectua plata către Partenerul Contractual în baza facturii conforme în termen de treizeci (30) zile de la data emiterii facturii.

2.4.5. Dacă în orice Perioadă de Raportare Partenerul Contractual a eșuat, în mod semnificativ sau nu, din orice motiv, să se conformeze condițiilor pentru mai mult de cinci (5) la sută din Solicitările primite în respectiva Perioadă de Raportare, fiind incluse și Solicitările pentru care o Reducere a fost aplicată, atunci:

(a) Serviciile de Publicitate, Informare și Marketing nu vor fi considerate ca prestate în integralitate în acea Perioadă de Raportare,

(b) Taxa pentru SPIM nu va fi datorată Partenerului Contractual în acea perioadă de Raportare.

2.4.6. dacă Partenerul Contractual și (sau) Șoferul său a acționat într-un mod care oferă Yango dreptul de a înceta Contractul privind Serviciile Electronice, Contractul și (sau) de a suspenda sau înceta accesul la Servicii, atunci orice Solicitare afectată de astfel de acte ale Partenerului Contractual și (sau) ale Șoferului său nu va fi luată în considerare la calcularea Taxei pentru SPIM și va fi luată în considerare la numărul de solicitări care nu au fost îndeplinite corespunzător de către Partenereul Contractual (Clauza 2.4.7 din Anexa privind SPIM). În Contul Partenerului Contractual o astfel de Solicitare va fi marcată ca "rea" (sau orice altă referință echivalentă) și Șoferul va fi marcat ca "vinovat" (sau orice altă referință echivalentă).

2.4.7. Dacă în orice moment Yango trebuie să stabilească pentru scopul Contractului rata de schimb a Monedei în Moneda Țării și invers, atunci Yango va folosi Cursul Oficial.

2.4.8. Taxa pentru SPIM pentru Serviciile de Informare prestate într-o Perioadă de Raportare cu privre la o Solicitare va fi calculată în Moneda Țării, după cum urmează:

B înmulțit cu (X minus Y), unde

(a) "B" reprezintă valoarea "1.00";

(b) "X" reprezintă o valoare variabilă determinată automat de Servicii în mod discreționar prin raportare la elemente particulare ale unei Solicitări (inclusiv, dar fără a se limita la punctul de preluare, momentul în zi, ziua săptămânii etc.), Solicitare care a fost efectuată complet și corespunzător în România;

(c) "Y" reprezintă valoarea Taxei de Transfer (în Moneda Țării) pentru o Solicitare care:

i. a fost efectuată complet și corespunzător în România pe parcursul unei Perioade de Raportare și

ii. se referă la tariful "Econom".

(d) În toate cazurile în care valoarea "Y" este egală cu sau depășește valoarea "X", Taxa pentru SPIM pentru Serviciile de Informare cu privire la o Solicitare va fi considerată ca egală cu zero (0).

2.4.9. Taxa pentru SPIM cu privire la Serviciile de Publicitate și Marketing prevăzute în Clauza 4.1(a),(b) din Contract într-o Perioadă de Raportare va fi calculată în Moneda Țării după cum urmează:

B înmulțit cu (Z plus A), unde

(a) "B" reprezintă valoarea "1.00";

(b) "Z" reprezintă valoarea în Moneda Țării a sumei cumulate a Reducerilor acordate de Partenerul Contractual într-o Perioadă de Raportare;

(c) "A" reprezintă valoarea unei taxe adiționale a Partenerului Contractual (în Moneda Țării) care poate fi stabilită în mod discreționar de Yango de la caz la caz pentru diversele activități ale Partenerului Contractual, care pot include, fără a se limita la menținerea și sporirea loialității Utilizatorilor, creșterea numărului de Vehicule disponibile conectate la Servicii, îmbunătățirea satisfacției Utilizatorilor și alte activități relevante.

2.4.10. Taxa pentru SPIM cu privire la Serviciile de Publicitate și Marketing prevăzute în Clauza 4.1(d) din Contract pentru o Perioadă de Raportare va fi calculată în Moneda Țării după cum urmează:

R înmulțit cu N, unde

(a) "R" reprezintă valoarea de patru sute (400) de unități din Moneda Țării;

(b) "N" reprezintă numărul de Șoferi care s-au calificat drept Șoferi de succes într-o Perioadă de Raportare relevantă, unde:

i. un Șofer este considerat "de succes" dacă:

01. un Șofer a fost invitat să folosească Serviciile pentru Șoferi de un Șofer eligibil (după cum este definit mai jos) în conformitate cu regulile promoției din Clauza 4.1(d),

02. un Șofer, înainte să fie invitat de un Șofer eligibil (i) nu a folosit Serviciile pentru Șoferi sau (ii) a folosit Serviciile pentru Șoferi, dar a fost inactiv (aceasta însemnând că un astfel de Șofer nu a efectuat nicio cursă comandată de un Utilizator prin intermediul Serviciilor) pentru cel puțin patruzeci și cinci (45) de zile calendaristice consecutive,

03. accesul unui Șofer la Servicii nu a fost suspendat sau încetat,

04. când s-a înregistrat pentru Serviciile pentru Șoferi, un Șofer a furnizat un cod unic de referință al unui Șofer eligibil și

05. un Șofer, după ce a fost invitat de un Șofer eligibil și a furnizat codul unic de referință al acelui Șofer eligibil, a efectuat în decurs de treizeci (30) de zile calendaristice consecutive cel puțin cincizeci (50) de curse comandate de Utilizatori prin intermediul Serviciilor, cu condiția ca fiecare cursă:

  • să nu fie frauduloasă și acest lucru să fie confirmat de Yango după cum este prevăzut în Contractul privind Serviciile Electronice; dacă o cursă este frauduloasă, atunci toate cursele realizate de un Șofer de la 00:00 până la 23:59 în acea zi nu vor fi luate în considerare la numărul total de curse și
  • să fie începută și efectuată în aria geografică a promoției din Clauza 4.1(d).

ii. un Șofer este considerat "eligibil" dacă:

01. accesul unui Șofer la Servicii nu a fost suspendat sau încetat,

02. unui Șofer nu i-a fost interzisă participarea la promoția din Clauza 4.1(d) sau participarea unui Șofer la promoția din Clauza 4.1(d) nu a fost suspendată sau încetată, caz care va exista, fără limitare, când accesul la Servicii a trei (3) Șoferi nou invitați nu a fost suspendat sau încetat după cum este prevăzut în Contractul privind Serviciile Electronice (pentru comportament fraudulos sau abuziv față de Servicii sau alt motiv),

03. un Șofer a efectuat cel puțin o (1) cursă comandată de un Utilizator prin intermediul Serviciilor,

04. un Șofer a furnizat codul său unic de referință unui Șofer invitat și

05. un Șofer nu a încetat relațiile sale contractuale cu Partenerul Contractual până la momentul la care un Șofer invitat a fost calificat ca Șofer de succes;

2.4.11. Taxa pentru SPIM cu privire la Serviciile de Publicitate și Marketing prevăzute în Clauza 4.1(c) din Contract va fi agreată de Părți printr-o Notificare Electronică.

2.5. Clauza 4.2 din Contract se modifică: Detaliile privind Serviciile de Publicitate și Marketing, inclusiv calendarul și domeniul de aplicare, pot fi convenite de către Părți prin intermediul Notificărilor Electronice.

2.6. Clauza 8.1 din Contract se modifică: Contractul și orice obligații necontractuale rezultate din sau în legătură cu Contractul vor fi guvernate de și interpretate în conformitate cu Legea Țării, fără a ține cont de dispozițiile sale privind conflictul de legi.

2.7. Clauza 8.2 din Contract se modifică: Orice Parte poate înainta un Litigiu spre soluționare prin arbitrajul final organizat de Curtea de Arbitraj Comercial Internațional a Camerei de Comerț și Industrie a României („CACI”), în conformitate cu Regulile de Arbitraj ale acesteia. Decizia va fi finală, obligatorie și executorie. Detalii suplimentare privind soluționarea Litigiilor sunt furnizate în Termenii Generali.

AIMS ANNEX: REPUBLIC OF SOUTH AFRICA

 

1. GENERAL PROVISIONS

1.1. This AIMS Annex apply to the relevant Advertising, Informational, and Marketing Services Agreement (the ‘Agreement’) which provides for that the AIMS Annex is incorporated therein by reference.

1.2. By entering into the Agreement, the Counterparty consents to be bound by the AIMS Annex without any additional formalities (including without limitation without signing the AIMS Annex or receiving a printed copy of the AIMS Annex).

1.3. Yango may amend the AIMS Annex when considers necessary without the Counterparty’s consent and, notwithstanding anything to the contrary, such amended AIMS Annex shall be binding on the Counterparty when they are made available via an Electronic Notice.

1.4. Capitalised words and expressions that are not defined in the AIMS Annex shall have meanings attached to them in the Agreement, the General Terms, and the E-Service Agreement and in the absence of such meaning the provisions of Clause 1.3 of the General Terms shall apply.

1.5. The AIMS Annex is made in English and in the Country Language. In case of any discrepancies, the English version shall prevail.

 

2. AMENDMENTS OF AND ADDITIONS TO THE AGREEMENT

2.1. This section contains provisions that amend, disapply, and (or) supplement the existing provisions the Agreement. Unless otherwise expressly provided for in this section, the relevant provision shall be deemed to supplement (for the avoidance of doubt: not to amend or disapply) the Agreement.

2.2. Clause 1.1.7 of the Agreement: Additional criteria which an Approved Vehicle shall satisfy:

2.2.1. it is actually used to render Transfer services at least 72 hours per calendar week (from midnight on Mondays to 11:59 p.m. on Sundays);

2.3. Clause 4.4.4 of the Agreement: the number of Approved Vehicles that are actually used to provide Transfer services at any time during any Reporting Period shall be equal to or more than eighty (80) per cent of all Approved Vehicle of the Counterparty.

2.4. Section 6 of the Agreement (‘AIMS Fee’):

2.4.1. Provided that the amount of the AIMS Fee due to the Counterparty in a relevant Reporting Period is equal to or exceeds the the one hundred (100) units of the Currency, Yango shall transfer such amount within this Reporting Period.

2.4.2. The Counterparty shall, by the end of the fifth (5th) business day of a Reporting Period, send an Electronic Notice containing an electronic report (that is a scanned PDF copy of a signed hard copy report) with regard to the Advertising and Marketing Services (i) rendered pursuant to the Agreement in the immediately preceding Reporting Period, or, if agreed by the Parties via an Electronic Notice, (ii) to be rendered pursuant to the Agreement in the upcoming Reporting Period or Reporting Periods. The template electronic report is attached as Schedule 1 to the AIMS Annex.

2.4.3. If, within thirty (30) calendar days from the date of the electronic report, the Counterparty has not received from Yango an Electronic Notice with Yango’s approval of or objections to the electronic report, then:

(a) Yango shall not be deemed (i) to have accepted and agreed with the content of the electronic report and (ii) to have confirmed that the Advertising and Marketing Services rendered in a relevant Reporting Period in all respects satisfy the Agreement,

(b) the Counterparty shall immediately send again to Yango an Electronic Notice with the relevant electronic report, and

(c) the Counterparty shall not issue an invoice with regard to the relevant Advertising and Marketing Services.

2.4.4. Provided that Yango has approved the electronic report by an Electronic Notice, the Counterparty shall send to Yango by an Electronic Notice containing an invoice with regard to the approved Advertising and Marketing Services. The template invoice is attached as Schedule 2 to the AIMS Annex.

2.4.5. Notwithstanding anything to the contrary in the Agreement, no payment of the AIMS Fee with regard to the Advertising and Marketing Services shall be due to the Counterparty until:

(a) the Counterparty has delivered to Yango the electronic report that fully complies with the Agreement and Schedule 1 to the AIMS Annex,

(b) Yango has approved the electronic report by an Electronic Notice,

(c) the Counterparty has delivered to Yango the invoice that fully complies with the Agreement, Schedule 2 to the AIMS Annex, and the electronic report, and

(d) there is no outstanding electronic reports and (or) invoices (whether (i) undelivered or untimely delivered for any reason, or (ii) otherwise uncompliant with the Agreement, the AIMS Annex, or Schedule 1 or Schedule 2 to the AIMS Annex) for any past Reporting Periods.

2.4.6. Yango shall make a payment to the Counterparty pursuant to the compliant invoice within fifteen (15) days as of the date of receipt of an Electronic Notice containing such invoice.

2.4.7. If in any Reporting Period the Counterparty has failed for any reason to comply, whether materially or not, with more that fifty (50) per cent of the Requests received in this Reporting Period, which includes the Requests to which a Discount has been applied, then:

(a) the AIM Services shall be deemed not rendered in their entirety in that Reporting Period,

(b) the AIMS Fee shall not be payable to the Counterparty in that Reporting Period, and

(c) no electronic report shall be executed by the Parties.

2.4.8. if the Counterparty and (or) its Driver has acted in a way that gives Yango a right to terminate the E-Service Agreement, the Agreement, and (or) suspend or terminate access to the Service, then any Request tainted by such acts of the Counterparty and (or) its Driver shall be disregarded for the purposes of calculation of the AIMS Fee and shall count towards the number of Requests that have not been complied with by the Counterparty (Clause 2.4.7 of the AIMS Annex). In the Counterparty Account such Request will be marked as ‘bad’ (or any equivalent identification) and such Driver will be marked as ‘fraudster’ (or any equivalent identification).

2.4.9. If at any time for the purses of the Agreement Yango needs to determine the conversation rate of the Currency into the Country Currency or vice versa, then Yango shall apply the Official Rate.

2.4.10. The AIMS Fee for the Informational Services rendered in a Reporting Period with regard to a relevant Request shall be calculated in the Country Currency as follows:

B multiplied by (X minus Y), where

(a) ‘B’ shall mean the value amounting to ‘[1.00]’;

(b) ‘X’ shall mean a variable value automatically determined by the Service on a discretionary basis with reference the particulars of a relevant Request (including without limitation the pick-up location, time of day, day of the week etc), which Request has been fully completed and complied with in Keptaun and Johannesburg.

(c) ‘Y’ shall mean the value amounting to the Transfer Fee (in the Country Currency) for a relevant Request, which Request:

i. has been fully completed and complied with in Keptaun and Johannesburg during a relevant Reporting Period, and

ii. relates to the ‘Economy’ tariff.

(d) In all cases when the value of ‘Y’ is equal to or exceeds the value of ‘X’, the AIMS Fee for the Informational Services with regard to a relevant Request shall be deemed to be equal to zero (0).

2.4.11. The AIMS Fee with regard to the Advertising and Marketing Services listed in Clause 4.1(a),(b) of the Agreement in a Reporting Period shall be calculated in the Country Currency as follows:

B multiplied by (Z plus A), where

(a) ‘B’ shall mean the value amounting to ‘1.00’;

(b) ‘Z’ shall mean the value amounting to the cumulative monetary amount in the Country Currency of Discounts granted by the Counterparty in a Reporting Period;

(c) ‘A’ shall mean the value of an additional fee of the Counterparty (in the Country Currency) which may be discretionary determined by Yango on a case by case basis for the Counterparty’s various activities which include without limitation maintaining and increasing Users’ loyalty, increasing the number of available Vehicles connected to the Service, improving Users’ satisfaction and other relevant activities.

2.4.12. The AIMS Fee with regard to the Advertising and Marketing Services listed in Clause 4.1(c) of the Agreement shall be agreed by the Parties via an Electronic Notice.

1.3.2. non-material, technical, or any other changes: when they are made available via an Electronic Notice unless otherwise specified in such Electronic Notice.

1.4. Capitalised words and expressions that are not defined in the AIMS Annex shall have meanings attached to them in the Agreement, the General Terms, and the E-Service Agreement and in the absence of such meaning the provisions of Clause 1.3 of the General Terms shall apply.

1.5. The AIMS Annex is made in English and in the Country Language. In case of any discrepancies, the Country Language version shall prevail.

 

2. AMENDMENTS OF AND ADDITIONS TO THE AGREEMENT

2.1. This section contains provisions that amend, disapply, and (or) supplement the existing provisions the Agreement. Unless otherwise expressly provided for in this section, the relevant provision shall be deemed to supplement (for the avoidance of doubt: not to amend or disapply) the Agreement.

2.2 Clause 2.2 of the Agreement: shall be disapplied in its entirety.

2.3. Clause 3.3 of the Agreement: shall be deleted in its entirety and replaced with the following: ‘Yango may use the Information, including without limitation location data (GPS tracks) in any Yango’s and its Affiliates’ services, software applications, and activities in any ways without restriction subject to the limitations established in the Privacy Policy (as available at https://yandex.com/legal/confidential/?lang=he) and the Country Law.’.

2.4. Clauses 3.6, 9.1.1, and 9.1.2 of the Agreement: all references to the Data Processing Agreement shall be disregarded, and the Data Processing Agreement shall not apply to any relationship between Yango and the Counterparty in the Country.

2.5. Section 6 of the Agreement (‘AIMS Fee’):

2.5.1. The AIMS Fee shall be payable to the Counterparty as provided for in this Clause ‎2.7 of the AIMS Annex. Unless the Counterparty submits to Yango a proper exempt certificate from the Israeli Tax Authority, Yango shall, if required by Israeli Law, withhold any applicable tax from the AIMS Fee, and the Counterparty hereby agrees to such deduction.

2.5.2. The Counterparty shall, by the end of the fifth (5th) business day of a Reporting Period, send an Electronic Notice containing information with regard to the AIM Services (i) rendered pursuant to the Agreement in the immediately preceding Reporting Period, or, if agreed by the Parties via an Electronic Notice, (ii) to be rendered pursuant to the Agreement in the upcoming Reporting Period or Reporting Periods (hereinafter referred to as an ‘Informational Notice’).

2.5.3. If, within five (5) business days from the date of the Informational Notice, the Counterparty has not received from Yango an Electronic Notice with Yango’s approval of or objections to the Informational Notice, then:

(a) Yango shall not be deemed (i) to have accepted and agreed with the content of the Informational Notice and (ii) to have confirmed that the AIM Services rendered in a relevant Reporting Period in all respects satisfy the Agreement,

(b) the Counterparty shall immediately send again to Yango an Electronic Notice with the relevant Informational Notice, and

(c) the Counterparty shall not issue an invoice with regard to the relevant AIM Services.

2.5.4. Provided that Yango has approved the Informational Notice by an Electronic Notice, the Counterparty shall, within five (5) business days from the date of Yango’s approval, send to Yango a Written Notice containing an invoice with regard to the approved AIM Services which invoice shall (a) be compliant with (i) the Country Law and (ii) the content of the Informational Notice, (b) be a tax invoice, and (c) be a signed hard-copy original (hereinafter referred to as a ‘Tax Invoice’). A document that does not meet any of foregoing requirements is not deemed to be a Tax Invoice and is regarded as non-delivered as such. Contemporaneously with delivery of a Tax Invoice, the Counterparty shall deliver to Yango a copy thereof by an Electronic Notice.

2.5.5. Notwithstanding anything to the contrary in the Agreement, no payment of the AIMS Fee with regard to the AIM Services shall be due to the Counterparty, and Yango may suspend and postpone any payments due to the Counterparty under the Agreement and any other agreement or otherwise, including payments unrelated to the missing documents, until:

(a) the Counterparty has delivered to Yango the Informational Notice,

(b) Yango has approved the Informational Notice by an Electronic Notice,

(c) the Counterparty has delivered to Yango the Tax Invoice and all relevant documentation (receipts etc) that are fully compliant with the Agreement, the AIMS Annex, and the Country Law, and

(d) there is no outstanding Informational Notices and (or) Tax Invoices—whether (i) undelivered or untimely delivered for any reason, or (ii) otherwise incompliant with the Agreement, the AIMS Annex, and the Country Law—for any past Reporting Periods.

The Counterparty shall bear all costs and expenses related to the Counterparty’s breach and (or) incompliance. It is clarified that nothing in this Clause ‎2.7.5 of the AIMS Annex shall derogate from any right and (or) remedy which Yango may have as a result of the Counterparty’s breach and (or) incompliance.

2.5.6. Yango shall make a payment to the Counterparty pursuant to the compliant invoice within fifteen (15) days as of the date of receipt of an Electronic Notice containing such invoice.

2.5.7. If in any Reporting Period the Counterparty has failed for any reason to comply, whether materially or not, with more than 50 (fifty) per cent of the Requests received in this Reporting Period, which includes the Requests to which a Discount has been applied, then:

(a) the AIM Services shall be deemed not rendered in their entirety in that Reporting Period,

(b) the AIMS Fee shall not be payable to the Counterparty in that Reporting Period, and

9c) no AIMS Report shall be executed by the Parties.

2.5.8. if the Counterparty and (or) its Driver has acted in a way that gives Yango a right to terminate the E-Service Agreement, the Agreement, and (or) suspend or terminate access to the Service, then any Request tainted by such acts of the Counterparty and (or) its Driver shall be disregarded for the purposes of calculation of the AIMS Fee and shall count towards the number of Requests that have not been complied with by the Counterparty (Clause ‎2.7.7 of the AIMS Annex). In the Counterparty Account such Request will be marked as ‘bad’ (or any equivalent identification) and such Driver will be marked as ‘fraudster’ (or any equivalent identification).

2.5.9. The AIMS Fee with regard to the Informational Services rendered in a Reporting Period with regard to a relevant Request shall be calculated in the Country Currency as follows:

(a)‘B’ shall mean the value amounting to ‘[1.00]’;

(b) ‘X’ shall mean a variable value automatically determined by the Service on a discretionary basis with reference to the particulars of a relevant Request (including without limitation the pick-up location, time of day, day of the week etc), which Request has been fully completed and complied with in Israel;

(c) ‘Y’ shall mean the value amounting to the Transfer Fee (in the Country Currency) for a relevant Request, which Request:

i. has been fully completed and complied with in Israel during a relevant Reporting Period, and

ii. relates to the Requests received under Priority Service Addendum.

(d) In all cases when the value of ‘Y’ is equal to or exceeds the value of ‘X’, the AIMS Fee for the Informational Services with regard to a relevant Request shall be deemed to be equal to zero (0).

2.5.10. The AIMS Fee with regard to the Advertising and Marketing Services listed in Clause 4.1(a),(b) of the Agreement in a Reporting Period shall be calculated in the Country Currency as follows:

B multiplied by (Z plus A), where

(a) ‘B’ shall mean the value amounting to ‘[1.00]’;

(b) ‘Z’ shall mean the value amounting to the cumulative monetary amount in the Country Currency of Discounts granted by the Counterparty in a Reporting Period;

(c) ‘A’ shall mean the value of an additional fee of the Counterparty (in the Country Currency) which may be discretionary determined by Yango on a case by case basis for the Counterparty’s various activities which include without limitation maintaining and increasing Users’ loyalty, increasing the number of available Vehicles connected to the Service, improving Users’ satisfaction and other relevant activities.

2.5.11. The AIMS Fee with regard to the Advertising and Marketing Services listed in Clause 4.1(d) of the Agreement in a Reporting Period shall be calculated in the Country Currency in accordance with the referral program published at http://yango.yandex.com/legal/referral_program_drivers. Yango reserves the right to change the terms and conditions of the referral program at any time without prior notice..

2.5.12. The AIMS Fee with regard to the Advertising and Marketing Services listed in Clause 4.1(c) of the Agreement shall be agreed by the Parties via an Electronic Notice.

2.5.13. If the Counterparty is willing to render Yango with additional Advertising and Marketing Services and install an advertising lightbox (including any related equipment) (the ‘Lightbox’) on a Vehicle, the following provisions shall apply:

(a) The Counterparty shall apply to Yango with a request to install the Lightbox on the Vehicle;

(b) If the Counterparty’s request is approved, the Counterparty shall install the Lightbox on the Vehicle at one of the car service centers authorized by Yango. The installation shall be done at Yango’s expense.

(c) After installation of the Lightbox, the Counterparty shall arrive to Yango’s offices for registration and examination of proper Lightbox installation.

Upon the Counterparty’s arrival, the Сounterparty shall be provided with the documents confirming the compliance of the Lightbox with requirements of applicable laws and regulations.

(d) The Counterparty acknowledges and agrees that the Counterparty will be requested from time to time to send photos of the installed Lightbox on the Vehicle upon a request provided through the Service for Drivers;

The AIMS Fee with regard to the Advertising and Marketing Services as set forth in Clause ‎2.5.13 of the AIMS Annex in a Reporting Period shall be calculated in accordance with conditions published at https://yango.yandex.com/driver/isr/lightbox. Yango reserves the right to change the terms and conditions of the referral program at any time without prior notice;

(e) The Counterparty acknowledges, confirms and undertakes:

i. the Lightbox shall remain at all times in the sole ownership and title of Yango;

ii. the receipt and installment of the Lightbox on the Vehicle shall constitute the Counterparty’s approval that the Lightbox was received in good condition, unless, upon receipt of the Lightbox, the Counterparty provided a Written Notice to Yango with a detailed description of any defect and (or) malfunction of the Lightbox;

iii. the Lightbox shall be cleaned and maintained by the Counterparty at all times, in accordance with Yango’s instructions;

iv. the Counterparty shall be liable for any damage caused to the Lightbox, and shall bear any and all expenses which may be accrued in connection with the repair of damage to the Lightbox. In addition, the Counterparty shall fully reimburse Yango in any case of theft, loss or unrepaired damage to the Lightbox; and

v. upon the earlier of (i) the termination or expiration of the Agreement, or (ii) seven (7) calendar days after the issuance by Yango of an Electronic Notice to the Counterparty requesting the return of the Lightbox, the Counterparty shall return the Lightbox in the same physical condition as it was provided by Yango.

If the Counterparty does not return the Lightbox in accordance with provisions of this Clause, Yango is entitled to withhold of 1,000 (one thousand) units of Country Currency from AIMS Fee which the Counterparty is entitled to.

2.6. Section 8 of the Agreement (‘Miscellaneous’): shall be disapplied in its entirety.

1. הוראות כלליות

1.1. נספח שירותי הפרסום, מידע ושיווק חל על הסכם שירותי הפרסום, מידע ושיווק הרלוונטי (ה"הסכם") אשר קובע כי נספח שירותי הפרסום, מידע ושיווק נכלל בו בדרך ההפניה.

1.2. ללא צורך בכל נוהל נוסף (לרבות ללא הגבלה, ללא החתימה על נספח שירותי הפרסום, מידע ושיווק או קבלה של העתק מודפס של נספח שירותי הפרסום, מידע ושיווק).

1.3. יאנגו רשאית לתקן את נספח שירותי הפרסום, מידע ושיווק כל אימת שתמצא כי הדבר הכרחי, ללא הסכמתו של הצד שכנגד, וכן, חרף כל האמור אחרת, נספח שירותי פרסום, מידע ושיווק מתוקן כאמור יהא מחייב בעבור הצד שכנגד כדלקמן:

1.3.1. שינויים מהותיים: בתוך שלושים (30) ימים קלנדריים מן המועד שבו יהפכו לזמינים דרך הודעה אלקטרונית; וכן,

1.3.2. שינויים לא-מהותיים, טכניים או כל שינוי אחר: כאשר הם יהפכו לזמינים דרך הודעה אלקטרונית, אלא אם ייקבע אחרת בהודעה אלקטרונית כאמור.

1.4. מילים ומונחים שאינם מוגדרים בנספח שירותי הפרסום, מידע ושיווק, יישאו את המשמעות שנקבע להם בהסכם, בתנאים הכלליים ובהסכם השירות האלקטרוני, ובהיעדר הגדרה כאמור, תחולנה הוראותיו של סעיף 1.3 לתנאים הכלליים.

1.5. נספח שירותי הפרסום, מידע ושיווק מנוסח באנגלית ובשפת המדינה. בכל מקרה של אי-התאמה, הנוסח בשפת המדינה יגבר.

 

2. תיקונים ותוספות להסכם

2.1. חלק זה מכיל הוראות המתקנות, מבטלות את התחולה ו/או מוסיפות על הוראותיו הקיימות של ההסכם. אלא אם נאמר במפורש אחרת בחלק זה, ההוראה הרלוונטית תראה כתוספת (למען הסר ספק: לא כתיקון או ביטול התחולה) להסכם.

2.2. סעיף 2.2 להסכם: תחולתו תבוטל במלואה.

2.3. סעיף 3.3 להסכם: יימחק בשלמותו ויוחלף באמור להלן: "יאנגו רשאית להשתמש במידע, לרבות ללא הגבלה, נתוני מיקום (מעקבי ממח"ע), בכל השירותים, יישומי המחשב והפעילויות של יאנגו וצדדיה המקושרים, בכל דרך, ללא סייג, בכפוף למגבלות הקבועות במדיניות הפרטיות (כפי שהיא זמינה בכתובת https://yandex.com/legal/confidential/?lang=he) ובדין המדינה.".

2.4. סעיפים 3.6, 9.1.1 ו-9.1.2 להסכם: כלל ההתייחסויות להסכם עיבוד הנותנים ייזנחו, והסכם עיבוד הנתונים לא יחול על כל מערכת יחסים בין יאנגו לבין הצד שכנגד במדינה.

2.5. חלק 6 להסכם ("דמי שירותי פרסום, מידע ושיווק"):

2.5.1. ניתן יהיה לשלם את דמי שירותי הפרסום, מידע ושיווק כמפורט בסעיף 2.7 זה לנספח שירותי הפרסום, מידע ושיווק. אלא אם יגיש הצד שכנגד ליאנגו אישור ראוי לגבי פטור מאת רשות המס הישראלית, יאנגו, אם תידרש לעשות כן על פי החוק הישראלי, תנכה כל מס שחל מדמי שירותי הפרסום, מידע ושיווק, והצד שכנגד מסכים בזאת לניכוי כאמור.

2.5.2. עד סופו של יום העסקים החמישי (5) של תקופת דיווח, ישלח הצד שכנגד הודעה אלקטרונית המכילה מידע בנוגע לשירותי הפרסום, מידע ושיווק (1) אשר ניתנו בהתאם להסכם בתקופת הדיווח האחרונה שקדמה לכך, או, אם כך סוכם בין הצדדים דרך הודעה אלקטרונית, (2) אשר יינתנו בהתאם להסכם בתקופת הדיווח הקרובה או תקופות הדיווח הקרובות (להלן: "הודעה אינפורמטיבית").

2.5.3. באם בתוך חמישה (5) ימי עסקים ממועד ההודעה האינפורמטיבית, לא יקבל הצד שכנגד הודעה אלקטרונית מיאנגו שתכיל את אישורה של יאנגו או התנגדותה להודעה האינפורמטיבית, אזי:

(a)יאנגו לא תראה כאילו (1) קיבלה והסכימה לתוכן ההודעה האינפורמטיבית ו-(2) אישרה כי שירותי הפרסום, מידע ושיווק שניתנו במהלך תקופת דיווח רלוונטית עומדים בהסכם בכלל ההיבטים,

(b) הצד שכנגד, באופן מיידי, ישלח שוב ליאנגו הודעה אלקטרונית עם המידע הרלוונטי, וכן,

(c) הצד שכנגד לא ינפיק חשבונית ביחס לשירותי הפרסום, מידע ושיווק הרלוונטיים.

2.5.4. בתנאי שיאנגו אישרה את ההודעה האינפורמטיבית באמצעות הודעה אלקטרונית, הצד שכנגד ישלח ליאנגו, בתוך חמישה (5) ימי עסקים ממועד אישורה של יאנגו, הודעה בכתב אשר תכיל חשבונית בגין שירותי הפרסום, מידע והשיווק שאושרו, כאשר החשבונית (א) תהיה תואמת (1) לדין המדינה ו-(2) לתוכן של ההודעה האינפורמטיבית, (ב) תהיה חשבונית מס, ו-(ג) תהיה עותק קשיח מקורי חתום (להלן, "חשבונית מס"). מסמך שלא יעמוד במי מבין הדרישות דלעיל לא יראה כחשבונית מס וייראה כאילו לא נשלח ככזה. בד בבד עם המשלוח של חשבונית המס, הצד שכנגד ימסור ליאנגו העתק שלה באמצעות הודעה אלקטרונית.

2.5.5. חרף כל האמור אחרת בהסכם, לא יעמוד לתשלום לצד שכנגד כל תשלום של דמי שירותי הפרסום, מידע ושיווק בגין שירותי הפרסום, מידע ושיווק, ויאנגו רשאית להשהות ולדחות כל תשלום העומד לתשלום לצד שכנגד על פי ההסכם וכל הסכם אחר או אחרת, לרבות תשלומים אשר אינם קשורים למסמכים החסרים, עד אשר:

(a) ימסור הצד שכנגד את ההודעה האינפורמטיבית ליאנגו,

(b) תאשר יאנגו את ההודעה האינפורמטיבית באמצעות הודעה אלקטרונית,

(c) ימסור הצד שכנגד את חשבונית המס ואת כלל המסמכים הרלוונטיים (קבלות וכיו"ב) ליאנגו, כאשר הם עומדים באופן מלא בהסכם, בנספח שירותי הפרסום, מידע ושיווק ובתנאי המדינה, וכן,

(d) לא קיימת כל הודעה אינפורמטיבית ו/או חשבוניות מס תלויות— בין אם (1) לא נמסרו או לא נמסרו במועד מכל סיבה שהיא, או (2) לא עמדו בכל אופן אחר בהסכם, בנספח שירותי הפרסום, מידע ושיווק ובתנאי המדינה— בגין כל תקופת דיווח קודמת.

הצד שכנגד יישא בכלל העלויות וההוצאות הקשורות להפרה ו/או אי עמידתו של הצד שכנגד. מובהר כי אין בסעיף 2.4.5 זה לנספח שירותי הפרסום, מידע ושיווק בכדי לגרוע מכל זכות ו/או סעד אשר עשויים להיות ליאנגו כתוצאה מההפרה ו/או אי-העמידה של הצד שכנגד.

2.5.6. יאנגו תבצע את התשלום לצד שכנגד בהתאם לחשבונית המתאימה בתוך חמישה עשר (15) ימים ממועד קבלתה של ההודעה האלקטרונית המכילה חשבונית כאמור.

2.5.7. באם בכל תקופת דיווח, לא עמד הצד שכנגד, מכל שסיבה שהיא, בין אם באופן מהותי ובין אם לאו, ביותר מ-50 (חמישים) אחוזים מהבקשות שהתקבלו בתקופת דיווח זו, הכוללת את הבקשות עליהן חלה הנחה, אזי:

(a) שירותי הפרסום, מידע ושיווק ייראו כאילו לא ניתנו בשלמותם באותה תקופת דיווח,

(b) שירותי הפרסום, מידע ושיווק לא יעמדו לתשלום לצד שכנגד באותה תקופת דיווח, וכן,

(c) לא יופק כל דוח שירותי פרסום, מידע ושיווק בידי הצדדים.

2.5.8. באם הצד שכנגד ו/או נהג שלו פעלו בדרכים המעניקות ליאנגו זכות לסיים את הסכם השירות האלקטרוני, ההסכם, ו/או להשהות או לבטל את הגישה לשירות, אזי כל בקשה שנפגעה בידי פעולות אלה של הצד שכנגד ו/או הנהג שלו לא תילקח בחשבון לצרכי חישוב דמי שירותי הפרסום, מידע ושיווק, ותכלל במסגרת מספר הבקשות שלא מולאו בידי הצד שכנגד (סעיף ‏2.7.7 לנספח שירותי הפרסום, מידע ושיווק). בחשבון הצד שכנגד בקשה כאמור תסומן כ"פסולה" (או כל זיהוי שקיל) ונהג זה יסומן כ"רמאי" (או כל זיהוי שקיל).

2.5.9. דמי שירותי הפרסום, מידע ושיווק בגין שירותי המידע שניתנו בתקופת דיווח ביחס לבקשה רלוונטית יחושבו במטבע המדינה כדלקמן:

Bכפול (Xפחות Y), כאשר

(a) "B" משמעו ערך המסתכם ב-"[1.00]";

(b) "X" משמעו ערך משתנה שייקבע אוטומטית בידי השירות על בסיס שיקול דעת עם התייחסות לפרטיה של הבקשה הרלוונטית (לרבות ללא הגבלה, נקודת האיסוף, השעה ביום, היום בשבוע, וכיו"ב), כאשר בקשה כאמור הושלמה ומולאה באופן מלא בישראל;

(c) "Y" משמעו ערך המסתכם בדמי ההעברה (במטבע המדינה) בגין ההעברה הרלוונטית, כאשר בקשה זו:

i. הושלמה ומולאה באופן מלא בישראל במהלך תקופת דיווח רלוונטית, וכן,

ii. קשורה לבקשות שהתקבלו על פי תוספת PRIORITY SERVICE.

iii. בכלל המקרים בהם ערכו של "Y" שווה או הינו גדול מערכו של "X", דמי שירותי הפרסום, מידע ושיווק בגין שירותי המידע בנוגע לבקשה רלוונטית ייראו כשווים לאפס (0).

2.5.10. דמי שירותי הפרסום, מידע ושיווק באשר לשירותי הפרסום והשיווק המנויים בסעיף 4.1(a), (b) להסכם בתקופת דיווח יחושב במטבע המדינה כדלקמן:

Bכפול (Zועוד A), כאשר

(a) "B" משמעו ערך המסתכם ב-"[1.00]";

(b)"Z" משמעו ערך המסתכם בסכום הכספי המצטבר במטבע המדינה של ההנחות שהוענקו בידי הצד שכנגד בתקופת דיווח;

(c) "A" משמעו ערכו של תעריף נוסף של הצד שכנגד (במטבע המדינה) אשר יאנגו רשאית לקבוע על פי שיקול דעת על בסיס של כל מקרה לגופו, בגין פעולותיו השונות של הצד שכנגד, ובכלל זה, ללא הגבלה, שימור והגברה של נאמנותם של המשתמשים, הגדלת מספר הרכבים הזמינים המקושרים לשירות, שיפור שביעות רצונם של המשתמשים ופעילויות רלוונטיות אחרות.

2.5.11. דמי שירותי הפרסום, מידע ושיווק באשר לשירותי הפרסום והשיווק המנויים בסעיף 4.1(d) להסכם בתקופת דיווח יחושבו במטבע המדינה בהתאם לתכנית ההפניות אשר זמינה בקישור http://yango.yandex.com/legal/referral_program_drivers. יאנגו שומרת לעצמה את הזכות לשנות את תנאי תכנית ההפניות בכל עת ללא התראה מוקדמת.

2.5.12. דמי שירותי הפרסום, מידע ושיווק באשר לשירותי הפרסום והשיווק המנויים בסעיף 4.1(c) להסכם יסוכמו בין הצדדים באמצעות הודעה אלקטרונית.

2.5.13. אם ברצונו של הצד שכנגד לספק ליאנגו שירותי המידע והפרסום הנוספים ולהתקין קופסת תאורה פרסומית לרבות כל ציוד מלווה ("הלייטבוקס") על רכב, יחולו ההוראות להלן:

(a) הצד שכנגד יפנה ליאנגו בבקשה להתקין לייטבוקס על רכב;

(b) אם בקשתו של הצד שכנגד אושרה, הצד שכנגד יתקין את הלייטבוק על הרכב באחד מרכזי השירות לרכבים המורשים על ידי יאנגו. ההתקנה תיעשה על חשבונה של יאנגו.

(c) לאחר התקנת הלייטבוקס, הצד שכנגד יגיע למשרדיה של יאנגו לרישום ובדיקה של התקנה הולמת של לייטבוקס.

בהגעתו של הצד שכנגד, יינתנו לצד שכנגד מסמכים המאשרים את עמידת הלייטבוקס בדרישות החוק והתקנות.

(d) הצד שכנגד מאשר ומסכים כי יתבקש מעת לעת להעביר צילומים של הלייטבוקס המותקן על רכבו לפי הבקשה אשר תימסר דרך השירות לנהגים.

(e) דמי שירותי הפרסום, מידע ושיווק באשר לשירותי הפרסום והשיווק המפורטים בס' ‎2.5.13 לנספח שירותי הפרסום, מידע ושיווק יחושבו בהתאם לתנאים אשר זמינים בקישור http://yango.yandex.com/driver/isr/lightbox. יאנגו שומרת לעצמה את הזכות לשנות את תנאי תכנית ההפניות בכל עת ללא התראה מוקדמת;

(f) הצד שכנגד מאשר, מסכים ומתחייב כי:

i. הלייטבוקס יישאר בכל עת בבעלותה הבלעדית של יאנגו;

ii. קבלתו והתקנתו של הלייטבוקס על הרכב, יהוו את אישורו של הצד שכנגד כי הלייטבוקס התקבל במצב טוב, אלא אם במעמד קבלת הלייטבוקס, מסר הצד שכנגד הודעה בכתב ליאנגו עם תיאור מפורט של כל פגם ו/או תקלה בלייטבוקס;

iii. הלייטבוקס ינוקה ויתוחזק על ידי הצד שכנגד בכל עת, בהתאם להוראותיה של יאנגו;

iv. הצד שכנגד יהיה אחראי לכל נזק שיגרם ללייטבוקס ויישא בכל ובכלל ההוצאות אשר עשויות להיות בהקשר לתיקון נזק שנגרם ללייטבוקס. בנוסף, הצד שכנגד ישיב ליאנגו כל הוצאה שתגרם לו במקרה של גניבה, אובדן או נזק שלא תוקן לליטבוקס; וכן,

v. במועד המוקדם מבין (א) סיום או פקיעת ההסכם, או (ב) שבעה (7) ימים קלנדריים לאחר הפקת הודעה אלקטרונית בידי יאנגו לצד שכנגד עם בקשה להשבת הלייטבוקס, הצד שכנגד ישיב את לייטבוקס באותו מצב פיזי שבו סופקה על ידי יאנגו.

אם הצד שכנגד אינו מחזיר את הלייטבוקס בהתאם להוראות של סעיף זה, יאנגו תהיה רשאית לעכב 1,000 (אלף) יחידות של מטבע המדינה מדמי שירותי הפרסום, מידע ושיווק אשר להם הצד שכנגד זכאי.

2.6. חלק 8 להסכם ("שונות"): תחולתו תבוטל במלואה.
