“Refer a friend” program for drivers

1. Definitions

1.1. ‘Yango’ - Yandex.Go Israel Ltd., a legal entity organised and existing under the laws of the Country, registration No. 515926285, having its principal place of business at 148 Menachem Begin Road, Tel Aviv, Israel;

1.2. ‘the Clause 4.1(d) promotion’ – the services specified in Clause 4.1(d) of the Advertising, Informational and Marketing Services Agreement (“AIMS Agreement”)

1.3. ‘Area the Clause 4.1(d) promotion’ – cities of Gush Dan, Haifa and Krayiot in which the Service is available;

1.4. ‘Service’ - various services provided via Yango’s technological platform which include without limitation the Service for Drivers, Counterparty Account and other related services, websites and interrelated support service systems, which Yango may update or modify at its own discretion from time to time. Any reference to the Service includes a reference to any and all parts of the Service.

1.5. ‘Service for Drivers’ - a part of the Service that (a) enables Drivers to receive Requests in an automatic mode and (b) has various functional capabilities fully described in the Service for Drivers manual

1.6. ‘AIMS Fee’ – AIMS Fee for the Promotional Services in accordance with Clause 4.1(d) of the Advertising, Informational and Marketing Services Agreement

1.7. ‘Reporting period’ - a period of time which starts on the first day and ends on the last day of the relevant calendar month;

1.8. Capitalised words and expressions that are not defined in these Terms and Conditions, shall have meanings attached to them in the General Terms, the E-Service Agreement, the Country Terms, AIMS Agreement, or the AIMS Annex: Israel and in the absence of such meaning the provisions of Clause 1.3 of the General Terms shall apply.

2. Payment conditions

2.1. Subject to these Terms, Yango shall pay the Referring Driver and the Reffered Friend AIMS fee in the amount of 250 NIS each excluding any applicable taxes for each Reffered Friend after fulfilment of the provisions of these Terms.

2.2. Yango reserves a right not to pay the fee, specified in Clause 2.1 of these Terms if it is found that Reffering Driver and(or) the Reffered Friend have acted fraudulently towards the Service or their behavior is considered as fraudulent under the Service’s conditions.

3. Reffering driver

3.1. The individual or the company who has been connected to the Service will be considered to be the "Referring Driver" under the following conditions:

3.2. a Driver’s access to the Service has not been suspended or terminated;

3.3. a Driver has not been denied participation in the Clause 4.1(d) promotion, or a Driver’s participation in the Clause 4.1(d) promotion has not been suspended or terminated, which will be the case, without limitation, in the circumstances when three (3) invited new Drivers’ access to the Service has not been suspended or terminated as provided for in the E-Service Agreement (for fraudulent or unconscionable behaviour towards the Service or other reasons);

3.4. a Driver has completed at least one (1) order via the Service;

3.5. a Driver has not terminated his or her contractual relations with Yango by the time when an invited Driver has qualified as the Referred Friend;

4. The reffered friend

4.1. The individual or the company who has been connected to the Service will be considered to be the "Referred Driver" under the following conditions:

4.2. The Referring Driver has invited the Referred Friend to use the Service for Drivers;

4.3. The Referred Friend, before being invited by the Referring Driver, (i) has not been using the Service for Drivers, or (ii) has been using the Service for Drivers but has been inactive (that means that such Driver has completed no orders via the Service) for at least forty five (45) consecutive calendar days;

4.4. The Referred Friend’s access to the Service has not been suspended or terminated,

4.5. when registering with the Service for Drivers, The Referred Friend’s has provided the Referring Driver’s unique reference code

4.6. The Referred Friend, after being invited by an eligible Driver and providing that eligible Driver’s unique reference code, has completed in 30 consecutive calendar days at least 50 Users’ orders via the Service provided that each order:

4.6.1. is not fraudulent and this has been confirmed to the satisfaction of Yango as provided for in the E-Service Agreement; if an order is fraudulent, then all orders made by a Driver from 00:00 until 23:59 on that day will not count towards the total number of orders, and

4.6.2. has been started within the Area of the Clause 4.1(d) promotion.

4.7. The Referred Friend agrees and acknowledges that information about his orders completed by him via Service will be provided to the Referring Driver by the Electronic notice or the Service for Drivers;

5. Miscellanous

5.1. Yango reserves the right to cancel, alter, amend, suspend, withdraw or terminate the Clause 4.1(d) promotion or to change these terms and conditions at any time in its sole discretion.

5.2. Where there is a conflict between the Terms and Conditions and the AIMS Annex: Israel, the specific Terms and Conditions shall apply, but all other provisions within the AIMS Annex: Israel shall remain in full force and effect.
