Terms & Conditions

Welcome to the Client Loyalty Program (the "Program").

This Program is effective as of 1 January 2025 and is designed to reward the valued clients of Air Smart Advertising Solutions FZ-LLC (the “Company”) who demonstrate consistent growth in the volume of the purchased retargeting & user acquisition services of Yango Ads Space product (the “Services”). By participating in this Program, the client agrees to the following terms and conditions, which govern the earning and redemption of benefits.

1. Eligibility

1.1. Participation is open to clients who:

  • have a valid service agreement with the Company;
  • purchase the Services for their own use (not for the use by their clients);
  • agree to comply with all applicable terms and conditions herein.

1.2. The Program is available only to business clients and is not open to individuals including your employees and their immediate family members unless otherwise approved in writing by the Company.

1.3. The respective clients are eligible to Program Reward described in clause 3 if they comply with the following conditions:

  • maintain the volume of Services provided to them not less than $3,000 per month or $9,000 per quarter;
  • demonstrate consistent growth of the volume of Services provided to them over two consecutive quarters;

2. Program Enrollment

2.1. Enrollment in the Program is free of charge.

2.2 To enroll, interested clients must complete the online registration form and provide accurate information. The Company reserves the right to verify and, if necessary, reject any registration at its sole discretion.

2.3. The Company reserves the right to approve or deny participation at its sole discretion based on the criteria mentioned in clause 1.1. of these T&C.

2.4. clients must provide accurate and up-to-date business information to remain eligible.

3. Program Reward

Participants in the Program will receive rewards as follows:

Cashback Points: clients earn 10% cashback points on their quarter-over-quarter growth in the amount of the Services provided to them (the base for cashback calculation is the difference between the amount of Services provided in the current quarter and in the previous quarter), credited at the end of each quarter.

The Cashback points can be redeemed for reducing the fee for the Services owed to the Company on the Client Interface.

3.1. Other Benefits:

  • Premium Club Welcome Kit upon joining.
  • Gold Plated Award recognizing business growth.
  • Access to the VIP area at Yandex Ads events.
  • Free admission to key industry events hosted or partnered by the Company for up to 3 attendees and arranging for the transportation to those events hosted or partnered by the Company for up to 3 attendees.

Redemption options, conversion rates, and expiration policies may be subject to change at Company’s discretion.

4. Cashback Redemption

4.1. Cashback will be announced to participant at the end of each qualifying quarter within 7 working days.

4.2. Cashback is non-transferable and can be applied as a discount towards future purchases of the Services by way of reducing the fee owed to the Company for the Services by the client. They cannot be sold, gifted, or exchanged between clients.

4.3. The Cashpoints cannot be exchanged for cash, transferred, or withdrawn.

4.4. All rewards are subject to verification and may be withheld or revoked if fraudulent activity is detected.

5. Expiry of Rewards

5.1. Cashback must be redeemed within 6 months from the date of issuance. Unused rewards will expire automatically.

5.2. Non-material benefits such as event invitations and VIP privileges are subject to availability and may be modified at Company’s discretion.

6. Program Limitations & Modifications

6.1 The Company reserves the right to modify, suspend, or terminate the Program, or any part thereof, at any time with a reasonable prior notice to the participants. Such modifications or termination shall be subject to applicable laws and will not affect any accrued rights of participants.

6.2 In the event of Program termination, any unused points or cashback will expire on the date specified in the termination notice.

6.3 Any changes to the Program will be communicated to participants via email or official announcements on the Company website.

7. Data Protection & Privacy

7.1 All personal data collected in connection with the Program will be processed in accordance with the Company’s Privacy Policy set out in the service agreement. By participating in the Program, client consents to such processing.

7.2 The Company takes reasonable steps to ensure the security of your data; however, it cannot be held responsible for any unauthorized data breaches beyond its control.

8. Liability and Disclaimers

8.1 The Company shall not be liable for any losses or damages arising from the participation in the Program, including technical failures, unauthorized access, or errors in the administration of the Program.

8.2 All rewards and benefits are provided “as is” without any warranty of any kind, either express or implied.

9. Dispute Resolution

9.1 These T&Cs and your participation in the Program shall be governed by and construed in accordance with the laws of the UAE.

9.2 Any disputes arising out of or in connection with these T&Cs shall be subject to the exclusive jurisdiction of DIFC courts of the UAE.

9.3 You agree to seek an amicable resolution through mediation before resorting to litigation.

10. Program validity period

The Program is effective from 1st January 2025 and will remain effective until 31st December 2025.

By participating in the Client Loyalty Program, the participant acknowledges and agrees to abide by these Terms & Conditions. The Company reserves the right to make final interpretations regarding Program eligibility, rewards, and other terms outlined herein.
