Terms of AdFox Services

This document constitutes the Terms of AdFox Services (hereinafter referred to as the "Terms") the Client acquires under the terms of the AdFox Offer (https://yandex.com/legal/adfox_service_offer_ch) (hereinafter referred to as the "Offer"). These Terms form an integral part of an agreement signed by and between Yandex and the Client under the terms of the Offer and are binding for the Client to accept and comply with.

1. General Provisions

1.1. For the purposes of these Terms (in addition to the terms and definitions in the Offer), the following terms are used:

"Request" shall mean the HTTP / HTTPS request of the Call Code, server, or user application (including web browser) to the Service, which may result in loading a banner in the user application (including web browser) (as this item is defined in the Client Interface) containing code to display a Material.

"Material Load", "Load" shall mean the processing of a HTTP request of the Call Code, server, or user application (including web browser) to the Service, which may result in loading a banner in the user application (including web browser) (as this item is defined in the Client Interface) containing code to display a Material.

"Display" shall mean the result of the processing of a HTTP / HTTPS request of the Call Code, server, or User's application (including a web browser) to the Program, when the Program receives technical information confirming the Load and display of the Material to the User.

"CPMR" shall mean the cost of processing one thousand (1,000) HTTP requests of the Call Code, server, or User's application (including a web browser) to the Program to load Materials.

"CPMD" shall mean the cost of processing a HTTP request of the Call Code, server, or User's application (including a web browser) to the Program, which resulted in Material Display.

If the Client uses Turbo pages (https://yandex.ru/support/news/turbo.html) (hereinafter referred to as Turbo Pages), then the Request does not include the processing of a HTTP / HTTPS request of the Call Code, server, or user application (including web browser) to the Program that has to do with the Materials the Client placed on Turbo Pages to calculate Yandex's remuneration for the Services rendered as per these Terms.

1.2. Yandex provides the Client with the Services specified in Section 2 of these Terms. Yandex may change the list, composition, and other features of the Services unilaterally in compliance with cl. 5.1 of the Offer.

1.3. For Yandex to start rendering the Services, the Client should: (i) identify him-/her-/itself in the Client Interface with the Client's login and password, (ii) independently choose and set parameters for the Services stipulated in these Terms.

1.4. To calculate the cost of the Services, only Yandex Statistics Data are used. Yandex Services shall be paid for as prescribed in Section 5 of the Offer.

1.5. Any other matters relating to the implementation of these Terms are governed by the respective provisions of the Offer.

2. Yandex Services

2.1. Gender, Age, and Income Targeting of Materials

2.1.1. As part of Gender, Age, and Income Targeting of Materials, taking into account requirements of the Offer and specifics defined by this clause of the Terms, Yandex makes it possible for the Client to choose the following criteria for selecting Materials to be displayed on the Inventory:

  • by gender
  • by age
  • by income

2.1.2. The cost of Gender, Age, and Income Targeting of Materials for the Reporting Period is calculated according to the following formula:

TA = (DN / 1,000) * CPMR,

where:

TA is the total amount the Client pays to Yandex (excluding VAT);

DN is the number of Material Displays using the selection criteria specified in cl. 2.1.1 of the Terms;

CPMD is a value calculated by the formula CPMD = M*€0,1, where M is the number of selection criteria for Materials (cl. 2.1.1 of the Terms) the Client chose via Client Web Interface.

2.2. Service “Data Provider Segments (DMP)”

2.2.1. As part of the provision of the Service “Data Provider Segments (DMP)”, taking into account the requirements of the Offer and the provisions established by this clause of the Terms, Yandex provides the Client with an option to use data provider segments (DMP) – segments of partner data management platforms (Data Management Platforms) – specialized systems – segmented data providers.

The option to use a specific segment selected by the Client may be terminated by DMP. In this case, Yandex sends a notification to the Client 30 days before the termination of the option of using the segment. 30 days after the notification is sent, the option of using the corresponding segment is suspended.

Segments are selected by the Client using the Yandex.Audience service (https://audience.yandex.com).

2.2.2. The cost of using the setting is indicated on the Yandex.Audience service (https://audience.yandex.com) and is available to the Client when choosing a segment. The cost of the Service “Data Provider Segments (DMP)” is calculated based on the following formula:

OS = (KP / 1000) * STP,

where:

OS is the total amount payable by the Client to Yandex (excluding VAT),

KP is the number of Material Displays;

STP is the price of using the corresponding segment, indicated on the Yandex.Audience service.
